A RESOLUTION OF THE LODI CITY COUNCIL RATIFYING EXPENDITURES AND
AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT WITH
CLEAN POWER RESEARCH, LLC, OF NAPA, FOR ANNUAL RENEWAL OF
POWERCLERK SOFTWARE PROGRAM APPLICATION AND SUBSCRIPTION
WHEREAS, on May 18, 2022, by Resolution No. 2022-121, the City Council approved
the sole -source purchase of the PowerClerk software program from Clean Power Research,
LLC, in the amount of $85,710 for set up costs and the first year's annual subscription cost; and
WHEREAS, PowerClerk replaced Lodi Electric Utility's (LEU) paper-based solar permit
processing system with a web -based electronic system and has enabled customers to
generate, submit, and process utility approval of solar permits online in an efficient manner.
This software tool has provided an effective mechanism for LEU to process solar permit
applications; and
WHEREAS, the current Agreement with Clean Power Research, LLC does not expire
until June 30, 2024, as this was based on an initial estimated launch date of the software. The
software was launched earlier than anticipated and, as such, the current subscription came to
an end June 30, 2023; and
WHEREAS, LEU has continued to use the software; however, the vendor was due
payment for the subscription covering July 1, 2023 through June 30, 2024 in advance. In an
effort to not jeopardize the suspension of service to LEU and its customers, on
November 20, 2023, the Interim City Manager authorized Amendment No. 1 to the Agreement
to expedite past due payment to the vendor.
NOW, THEREFORE, BE IT RESOLVED that the Lodi City Council does hereby ratify
Amendment No. 1 to the Professional Services Agreement with Clean Power Research, LLC, of
Napa, California, and associated expenditures in the amount of $40,300 for a total authorized
contract amount of $126,010 through June 30, 2024, for the annual renewal of the PowerClerk
software program application and subscription; and
BE IT FURTHER RESOLVED, pursuant to Section 6.3q of the City Council Protocol
Manual (adopted 11/6/19, Resolution No. 2019-223), the City Attorney is hereby authorized to
make minor revisions to the above -referenced document(s) that do not alter the compensation
or term, and to make clerical corrections as necessary.
