A RESOLUTION OF THE LODI CITY COUNCIL RATIFYING EXPENDITURES TO
DATE; APPROVING THE CITY MANAGER'S DECISION TO ENTER INTO AN
AGREEMENT FOR MOBILE DEVICE FORENSIC TOOL SOFTWARE AS A SERVICE
FROM GRAYSHIFT, LLC, OF ROSWELL, GEORGIA; AND AMENDING CURRENT
CONTRACT TO RENEW FOR A ONE-YEAR TERM, WITH AUTOMATIC ANNUAL
RENEWALS AND A CONSUMER PRICE INDEX PERCENTAGE INCREASE
WHEREAS, in 2022, Lodi Police Department (LPD) entered into a one-year agreement
with Grayshift, LLC for their Graykey SaaS product in the amount of $28,117.44; and
WHEREAS, Graykey is a mobile device forensic tool used to lawfully access and extract
encrypted or inaccessible data from devices to help law enforcement agencies get pertinent
information for solving cases; and
WHEREAS, nearly 90% of criminal investigations rely on smart phones as their main
source of evidence. Graykey allows detectives access to locked, inaccessible, and cracked
screen devices within one hour. In 2022, LPD used Graykey on over 100 phones and provided
supporting evidence to over 50 cases, proving immensely beneficial to our detectives; and
WHEREAS, the authorization of this contract will allow our detectives to safely access
critical information and accelerate their investigations.
NOW, THEREFORE, BE IT RESOLVED that the Lodi City Council does hereby ratify
expenditures to date and approve the City Manager's decision to enter into an agreement for
mobile device forensic tool software as a service from Grayshift, LLC, of Roswell, Georgia; and
BE IT FURTHER RESOLVED that the Lodi City Council does hereby approve an
amendment to the current contract for another one-year term, in the amount of $30,795, with
automatic annual renewals and a consumer price index percentage increase; and
BE IT FURTHER RESOLVED, the annual renewal Grayshift software costs were included
in the FY 2023/24 budget under Police Support Services - Misc. Professional Services -
10031004.72450; and
BE IT FURTHER RESOLVED, pursuant to Section 6.3q of the City Council Protocol
Manual (adopted 11/6/19, Resolution No. 2019-223), the City Attorney is hereby authorized
.o make minor revisions to the above -referenced document(s) that do not alter the
compensation or term, and to make clerical corrections as necessary.
