AGENDA TITLE: Adopt Resolution Authorizing City Manager to Execute Amendment No. 1 with City of
Stockton for Fire Dispatch Services

RECOMMENDED ACTION: Adopt Resolution authorizing City Manager to execute Amendment No. 1
with City of Stockton for fire dispatch services.
BACKGROUND INFORMATION: In March of 2021, city council authorized City Manager to execute an
agreement with City of Stockton for fire dispatch services. This contract is
currently in effect until June 30, 2023, and allows for automatic renewal for
successive one (1) year periods for up to three (3) years through an amendment process.
The City of Stockton will continue to be responsible for operating the Emergency Communications Division (ECD)
and will increase rates from $55 per call (valid through June 30, 2023) to $66.40 per call, effective July 1, 2023
through June 30, 2024. The budget recommendation for Fiscal Year 2023-2024 assumes the increased rate.
Staff recommends authorizing City Manager to execute Amendment No. 1 with the City of Stockton to continue
providing dispatch services.

DISPATCH AGREEMENT AMENDMENT Agreement Number: Amendment

This Amendment Number 1 to the above referenced Agreement is entered into on
between the City of Stockton ("City") and City of Lodi ("Agency").
RECITALS
WHEREAS the City of Stockton Fire Department (hereinafter "CITY") and City of Lodi (hereinafter, "AGENCY")
entered into a Dispatching Services Agreement dated March 18, 2021 (hereinafter, "AGREEMENT") regarding the CITY
providing fire and emergency medical call receipt and dispatching services to the AGENCY through the City's
Emergency Communications Division located at 110 West Sonora Street, Stockton, California:
WHEREAS Section 3 of the AGREEMENT established the rate per call for medical and non-medical calls
dispatched by CITY's dispatch center;
WHEREAS Section 3 as described more particularly in Exhibit B of the AGREEMENT provides a dispatch
services rate of $55.00 per call for all billable emergency calls dispatched by the City's Emergency Communications
Division from July 1, 2021, thru June 30, 2023;
WHEREAS CITY AND AGENCY recognize that the current rate does not fully recover CITY's actual cost of
dispatch services provided to AGENCY;
WHEREAS CITY AND AGENCY desire to amend the AGREEMENT to include provisions amending the
established rate and to establish an annual rate of adjustment between the CITY and AGENCY; and
WHEREAS CITY AND AGENCY agree to apply these changes in rates, beginning July 1, 2023
THEREFORE, this Amendment Number 1 {hereinafter, "AMENDMENT 1") is entered into between the CITY
and the
AGENCY and amends AGREEMENT, to amend Section 3, entitled "Compensation," specifically "Exhibit B - PAY
SCHEDULE", Section (b), and replace with the following:
(b)(1) AGENCY shall pay CITY for dispatch services at a rate of $66 40 per call for all billable emergency
calls dispatched by the CITY's Emergency Communications Division dispatch center from July 1, 2023, thru June 30,
2024.
(b)(2) AGENCY shall pay CITY for dispatch services at a rate of $69.72 per call for all billable emergency
calls dispatched by the CITY's Emergency Communications Division dispatch center from July 1, 2024, thru June 30,
2025.
(b)(3) AGENCY shall pay CITY for dispatch services at a rate of $73.21 per call for all billable emergency calls
dispatched by the CITY's Emergency Communications Division dispatch center from July 1, 2025, thru June 30,
2026
The AGREEMENT is further amended by replacing Section 7 with the following:
7. Indemnity and Hold Harmless. To the fullest extent permitted by law, AGENCY shall hold harmless, defend
and indemnify CITY and its officers, officials, employees and volunteers from and against any and all liability, loss,
damage, expense, costs (including without limitation costs and fees of litigation) of every nature arising out of or in
connection with AGENCY's performance hereunder or its failure to comply with any of its obligations contained in this
Agreement, except such loss or damage which was caused by the sole negligence or willful misconduct of the CITY.
These obligations shall survive the completion or termination of this Agreement.
The methodology that will be used to determine billable calls as provided in Section 3 - Exhibit B, and in all other
respects of the AGREEMENT is hereby ratified and confirmed by the parties.
All other terms and conditions of the AGREEMENT shall remain unchanged and remain in full force and effect unless
modified by a written amendment signed by both parties.

A RESOLUTION OF THE LODI CITY COUNCIL AUTHORIZING THE
CITY MANAGER TO EXECUTE AMENDMENT NO. 1 TO THE AGREEMENT
WITH CITY OF STOCKTON FOR FIRE DISPATCH SERVICES
WHEREAS, in March 2021, City Council authorized the City Manager to execute an

authorize the City Manager to execute Amendment No. 1 to the agreement with the City of
Stockton to continue providing fire dispatch services through June 30, 2024; and
BE IT FURTHER RESOLVED, pursuant to Section 6.3q of the City Council Protocol
Manual (Res. No. 2019-223), the City Attorney is hereby authorized to make minor revisions to
the above -referenced document(s) that do not alter the compensation or term, and to make
clerical corrections as necessary.
