AGENDA TITLE: Adopt Resolution Authorizing City Manager to Execute Amendment No. 1 to Professional
Services Agreement with Alpha Omega Wireless, Inc., for Purchase and Installation of
Upgrade to Wireless Microwave System Between City Water Tower and White Slough
Water Pollution Control Facility ($54,000) and Change Orders (Not to Exceed $10,400)

RECOMMENDED ACTION: Adopt resolution authorizing City Manager to execute Amendment No. 1 to
the Professional Services Agreement with Alpha Omega Wireless, Inc., for
the purchase and installation of an upgrade to the wireless microwave
system between City water tower and White Slough Water Pollution Control Facility in the amount of $54,000
and change orders in an amount not to exceed $10,400.
BACKGROUND INFORMATION: The City is reliant on a stable and reliable microwave signal to deliver
network services to remote City facilities. White Slough Water Pollution
Control Facility (WSWPCF) is outside the City's boundaries and is located
far from the accessibility of the City's fiber optic network. City staff renewed a three-year Professional Services
Agreement with Alpha Omega, Inc., in February 2023 for support and maintenance in the amount of $11,250.
Alpha Omega has supported the City's wireless infrastructure for the past eight years and is familiar with the
terrain and the hardware infrastructure that makes up the City's microwave system.
City staff are expanding services at WSWPCF, which includes facility security, video surveillance and extending
network services to a potential future public safety training facility. These services will require increased
bandwidth and faster microwave speeds than the current array can offer. Alpha Omega has designed an array
that will more than double the bandwidth of the current microwave network. The expanded bandwidth will meet
the requirements for the current network and future network demand.
City staff recommends approving Amendment No. 1 for the purchase and installation of an Aviat Microwave
system to replace the City's current microwave to White Slough in the amount of $54,000. Staff further
recommends authorizing the City Manager to approve change orders related to the project up to $5,400 and
authorize the City Manager to extend up to $5,000 for time and material for project outside the current scope of
services for a total contract not exceed $75,650, and carry over any remaining project funds from FY 2022-23
budget to FY 2023-24.
FISCAL IMPACT: Failure to upgrade the City's microwave network would result in loss of
network connectivity to White Slough Pollution Control Facility. Inability to
communicate to staff, maintain security and support of facility's SCADA
platform.

AMENDMENT NO. 1
ALPHA OMEGA WIRELESS
Professional Services Agreement
THIS AMENDMENT NO. 1 TO AGREEMENT, is made and entered this
day of , 2023, by and between the CITY OF LODI, a municipal corporation
(hereinafter "CITY'), and ALPHA OMEGA WIRELESS INC., a California Corporation.
(hereinafter "CONTRACTOR").
WITNE SS ETH:
1. WHEREAS, CONTRACTOR and CITY entered into a Professional Services
Agreement ("Agreement") on February 1, 2023, as set forth in Exhibit 1, attached
hereto; and
2. WHEREAS, CITY requested to amend said Agreement for additional services
and materials in the sum of $53,596.35, as set forth in Exhibit 2, attached hereto;
and
3. WHEREAS, CITY staff recommends authorizing the City Manager to approve
change orders related to the project in an amount not to exceed $5,400 for
unforeseen risks; and
4. WHEREAS, CITY staff recommends authorizing the City Manager to expend up
to $5,000 for time and material on projects outside the current scope of
maintenance and support under the Agreement; and
5. WHEREAS, CONTRACTOR agrees to said amendments.
NOW, THEREFORE, BE IT RESOLVED the parties agree to amend the
Agreement to purchase and install a new microwave wireless network not to exceed
($54,000); and authorize City Manager to approve change orders related to the project
not to exceed ($5,400), and authorize City Manager to expend up to $5,000 for time and
material for projects outside the current scope of services, for a total contract not to
exceed $75,650, and carry over from FY 2022-23 any remaining project funds to FY
2023-24.
BE IT FURTHER RESOLVED, pursuant to Section 6.3q of the City Council
Protocol Manual (adopted 11/6/19, Resolution No. 2019-223), the City Attorney is
hereby authorized to make minor revisions to the above -referenced document(s) that do
not alter the compensation or term, and make clerical corrections as necessary.
