AGENDA TITLE: Adopt Resolution Authorizing City Manager to Execute Confirmation No. 0277 Under Northern
California Power Agency Support Services Program Agreement for Specialized Electrical Testing
and Substation Maintenance Services Over Three Years ($156,460)

RECOMMENDED ACTION: Adopt a resolution authorizing the City Manager to execute Confirmation No.
0277 under the Northern California Power Agency (NCPA) Support Services
Program Agreement (SSPA) for specialized electrical testing and substation
maintenance services over three years in an amount not -to -exceed $156,460.
BACKGROUND INFORMATION: Lodi Electric Utility (LEU) currently requires the assistance of an engineering firm
to provide specialized substation electrical services beyond current LEU staff
capabilities.
Authorized by Resolution 2016-162, the SSPA with NCPA provides an opportunity for Lodi to use pre -approved vendors
and contracts for services by executing a Confirmation for those specific services. The specific vendor to be used for
these services through the SSPA is Electric Power Systems International, Inc. (EPSI).
EPSI has the knowledge and necessary equipment to be able to assist with large items such as PG&E's G5 Substation
Interconnection Testing Processes that require specialized equipment and forms. LEU will utilize EPSI initially for the
Industrial Substation Relay Upgrade Project to complete PG&E's G5 Interconnection Testing Processes while LEU
Substation personnel assist its current contractor with project related items including wiring and installation of equipment.
EPSI's services will also be used for testing substation equipment to assist with substation maintenance activities that will
decrease the amount of expensive equipment LEU would require to support a proper maintenance program. This
includes, but is not limited to, testing current transformers, power factor tests, sweep frequency response for substation
transformers, and more. Substation test equipment, beyond what LEU currently has, generally starts at prices around
$40,000. EPSI has included this in their testing services.
Per Lodi Municipal Code, Section 3.20.075, engineering services are exempt from bidding requirements and shall be
awarded on the basis of professional qualifications and experience, quality of service, past performance and negotiated
prices. EPSI currently provides engineering and testing services for NCPA and was a valuable resource to LEU during
Lodi's recent summer outage.
FISCAL IMPACT: Not to exceed $156,460 over three years, including NCPA administrative fees

FUNDING AVAILABLE; Estimated expenditures for Fiscal Year 2022/23 are $50,000 with sufficient funds
available in Account No. 50061500.72450. Future year costs will be budgeted as part of
the annual budget planning process.

CONFIRMATION UNDER THE NCPA SUPPORT SERVICES PROGRAM
AGREEMENT
1. This is a Confirmation pursuant to the Support Services Program Agreement and
subject to the terms and conditions of that agreement, except as expressly provided in this
Confirmation. All capitalized terms have the meaning given to them in the Support Services
Program Agreement.
2. The Participating Member for this Confirmation is the CITY OF LODI in the
amount of not -to -exceed $150,000.00 for the Electric Power Systems International, Inc. (EPSII)
services described in paragraph 3. This is not a guarantee that the full amount will be paid to
EPSII but is merely a limit of potential expenditures for services under this Confirmation.
3. CITY OF LODI requests the following described Support Services in the dollar
amount specified. NCPA agrees to provide the following Support Services to the Participating
Member:
EPSII to provide specialized electrical services as requested by the City of Lodi/Lodi
Electric Utility at any facilities owned or operated by the City of Lodi. The scope of
services is identified in the letter addressed to Jasminder Singh and Rod Brown of the
City of Lodi from Michael Sannar dated September 26, 2022, a copy of which is attached
hereto as Exhibit "A". The services shall also comport with the Scope of Work and
pricing included in the agreement between NCPA and EPSII dated February 24, 2022.
No services under this Confirmation shall include work that would qualify as a Public
Works Project under the California Public Contract Code. The services under this
Confirmation are estimated to begin in November 2022 and continue as requested for a
period of 36 -months.
4. The CITY OF LODI agrees to pay for the Support Services in the amount set forth
in paragraph 2 above; plus, the administrative fees in the amount not -to -exceed $6,460.00 ($685
for development of the Confirmation and first month's processing, plus $165 per month for
each additional month administrative costs are actually incurred) in accordance with the
provisions of the Support Services Program Agreement. Billing to the CITY OF LODI for said
services will be through a Special Invoice. Am total amount expended under this Confirmation
will not exceed 5156.460.00.

A RESOLUTION OF THE LODI CITY COUNCIL AUTHORIZING THE
CITY MANAGER TO EXECUTE CONFIRMATION NO. 0277 UNDER
NORTHERN CALIFORNIA POWER AGENCY SUPPORT SERVICES

NOW, THEREFORE, BE IT RESOLVED that the Lodi City Council does hereby authorize
the City Manager to execute Confirmation No. 0277 under the Northern California Power Agency
Support Services Program Agreement for specialized electrical testing and substation
maintenance services over three years, in an amount not to exceed $156,460; and
BE IT FURTHER RESOLVED, pursuant to Section 6.3q of the City Council Protocol
Manual (adopted 11/6/19, Resolution No. 2019-223), the City Attorney is hereby authorized to
make minor revisions to the above -referenced document(s) that do not alter the compensation or
term, and to make clerical corrections as necessary.
