$14,817.59
BACKGROUND INFORMATION: It is the desire of Meehleis & Sinclair Foundation to provide funding
for a new Daktronics Scoreboard for Tony Zupo Field in the amount
of $14,817.59 to the City of Lodi's partner — B.O.B.S., a nonprofit
501(c)(3) organization. B.O.B.S. desires to accept the funds from Meehleis & Sinclair Foundation, hold
the funds in trust and coordinate purchase of the Scoreboard with Daktronics for shipment to the City of
Lodi. PRCS shall provide conceptual plan to B.O.B.S. and Daktronics to assist with purchase and
delivery of the scoreboard.
Scoreboard naming rights shall be granted to Meehleis & Sinclair Foundation for at least 20 years or up
until Scoreboard requires replacement. Meehleis & Sinclair Foundation shall have first right of refusal to
fund replacement of scoreboard.

Donation Agreement Re Tony Zupo Field Scoreboard
This Donation Agreement ("Agreement") is made and entered into by and between Meehleis & Sinclair
Foundation, a California 501(c)(3) corporation ("Meehleis"), Lodi Boosters of Boys/Girls Sports B.O.B.S. a
California 501(c)(3) corporation ("B.O.B.S."), and the City of Lodi, a municipal corporation ("City"),
collectively the "Parties", for the purchase and installation of a new Daktronics Scoreboard at Tony Zupo
Field. Meehleis and B.O.B.S. may be collectively referred to herein as "Donors").
Recitals
Whereas, Meehleis is a nonprofit 501(c)(3) with a long-standing history in the City of Lodi supporting
youth sports activities; and
Whereas, Meehleis desires to donate funds for the purchase a new scoreboard at Tony Zupo Field to a
nonprofit 501(c)(3) whose mission is to promote youth sports; and
Whereas, B.O.B.S. is a nonprofit 501(c)(3) whose mission is to promote, volunteer and raise funds to
develop a system of sports activities in the City of Lodi; and
Whereas, B.O.B.S. desires to accept the funds from Meehleis and in turn procure a new Daktronics
Scoreboard for installation at Tony Zupo Field; and
Whereas, City of Lodi owns the property, including Tony Zupo Field, located at 350 N Washington Street,
Lodi, CA 95240 ("Project Location") and is authorized to accept the donation of a new Daktronics
Scoreboard to be installed at Tony Zupo Field.
Now, therefore, in consideration of the forgoing and the following mutual covenants and obligations,
and the performance thereof, and subject to the terms and conditions set forth herein, the Parties agree
as follows:
Covenants
Term
This Agreement shall become effective on the last date of the signature by the Parties
("Effective Date") and shall remain in full force and effect until December 31, 2041.
Roles and Responsibilities
a. Meehleis Roles and Responsibilities
i. Provide funding for Daktronics Scoreboard in the amount of $14,817.59 as per
Exhibit A, attached to this Agreement and incorporated herein, "Daktronics
Quote #725204-1-2" ("Scoreboard" or "Gift").
b. B.O.B.S. Roles and Responsibilities
i. Accept funds from Meehleis to be held intrust as per B.O. B.S. 501 c (3) bylaws.
ii. Coordinate purchase and shipping of Scoreboard with Daktronics and City
through its Parks Recreation and Cultural Services Department ("PRCS").

iii. Keep Meehleis and PRCS informed of status of purchase and delivery of the
Scoreboard.
c. City Roles and Responsibilities
i. Provide conceptual plan to B.O.B.S. and Daktronics and assist B.O.B.S. with
purchase and delivery of the Scoreboard. Refer to Exhibit B of this Agreement,
"Concept City of Lodi _CA Baseball BA -618", incorporated herein.
ii. Dispose of existing scoreboard and install the Scoreboard at Tony Zupo Field.
iii. Keep B.O.B.S. and Meehleis informed of Scoreboard installation.
iv. Maintain and repair Scoreboard during the term of this Agreement to ensure
Scoreboard is in a state of working condition at all times.
v. Grant scoreboard naming rights to Meehleis for least 20 years or up until
Scoreboard requires replacement, whichever comes first. Refer to Exhibit B of
this Agreement, "Concept City of Lodi_CA Baseball BA -618" which includes an
approved Meehleis logo.
vi. Upon Scoreboard requiring replacement, allow Meehleis first right of refusal to
fund replacement of Scoreboard, including necessary components, local sales
tax and shipping freight.
vii. Provide recognition of Meehleis and B.O.B.S.'s donation of the Scopreboard
through City's social media sites if so desired by Meehleis and B.O.B.S.
III. Ownership
City, its successors and assigns, shall own all rights to the Scoreboard upon its donation by
Meehleis and B.O.B.S. to the City.
IV. Limitation of Liability
Under no circumstances shall one party to this Agreement be liable to another party for any
special, consequential, indirect or incidental damages, including lost profits, arising out of or
in connection with this Agreement, or any activities performed in connection with this
Agreement, regardless of whether a claim made by that party is based on contract or tort.
V. Disclaimer
It is expressly understood by City and Donors, that no director, officer, employee or other
representative of City, Meehleis, and/or B.O.B.S. shall incur any financial responsibility or
liability of any kind or nature whatsoever, in connection with this Agreement, or any
amendment and/or subsequent agreement regarding the subject matter hereof.
VI, Modification and Amendment
This Agreement may not be amended or modified, nor may compliance with any of its terms
be waived, except by written instrument executed and approved in the same manner as this
Agreement.
VII. Governing Law; Venue
The formation, interpretation and performance of this Agreement shall be governed by the
laws of the State of California, without regard to its conflict of laws principles. Venue for all

litigation relative to the formation, interpretation, and performance of this Agreement shall
be in the Superior Court of San Joaquin County.
VIII. Headings
All article and section headings and captions contained in this Agreement are for reference
only and shall not be considered in construing the intent this Agreement.
IX. Entire Agreement
This Agreement sets forth the entire agreement between the Parties, and supersedes. Any
prior or contemporaneous oral or written understanding or communications between the
Parties and constitutes the entire agreement of the Parties with respect to its subject
matter. This Agreement may not be amended or modified, except in writing signed by each
of the Parties.
X. Counterparts and Electronic Signatures
This Agreement and other documents to be delivered pursuant to this Agreement may be
executed in one or more counterparts, each of which will be deemed to be an original copy
and all of which, when taken together, will be deemed to constitute one and the same
agreement or document, and will be effective when counterparts have been signed by each
of the parties and delivered to the other parties. Each party agrees that the electronic
signatures, whether digital or encrypted, of the parties included in this Agreement are
intended to authenticate this writing and to have the same force and effect as manual
signatures. Delivery of a copy of this Agreement or any other document contemplated
hereby, bearing an original manual or electronic signature by facsimile transmission
(including a facsimile delivered via the internet), by electronic mail in "portable document
format" (".pdf") or similar format intended to preserve the original and pictorial appearance
of a document, or through the use of electronic signature software will have the same effect
as physical delivery of the paper document bearing an original signature.
XI. Relationship of the Parties
Nothing contained in the Agreement shall be construed as creating any agency, partnership,
or other form of joint enterprise between the Parties. The relationship between the Parties
shall at all times be that of independent contractors. Neither Party shall have authority to
contract for or bind the other in any manner whatsoever. The Agreement confers no rights
upon either Party except those expressly granted herein.
XII. Attorney Fees
In the event any Party commences legal proceedings for the enforcement of this
Agreement, the prevailing party shall be entitled to recovery of reasonable attorney's fees,
litigation expenses, and court costs incurred in the action brought thereon as may be
awarded by a court of competent jurisdiction. Attorney's fees and litigation expenses shall
include without limitation costs of preparation and discovery and retaining expert
witnesses, and such fees and expenses shall be payable whether or not the litigation
proceeds to final judgment. "Prevailing party" shall be defined as the party with a net

monetary recovery, a defendant in whose favor a dismissal is entered, a defendant where
neither plaintiff nor defendant obtains any relief, and a defendant as against those plaintiffs
who do not recover any relief against that defendant. When any party recovers other than
monetary relief and in situations other than as specified herein, the prevailing party shall be
as determined by the court.
XIII. Notices
Any notice required to be given of this Agreement shall be in writing signed by an authorized
representative of the sender and shall be deemed to have been given when the same is
personally served or upon receipt by express or overnight delivery, postage prepaid, or
three (3) days from the time of mailing if sent by fist class or certified mail, postage prepaid,
addressed to the respective parties as follows:

If your purchase exceeds $25,000, you may qualify for our leasing program allowing you more flexibility to spread out the cost of
your Daktronics display over of a period up to five (5) years Benefits of our leasing program include fixed rate financing, non -appropriation clause, no
prepayment penalty, and customizable payment schedules. Plus, at the end of the lease, the equipment is yours to keep with no additional balloon

$50,000 in total equipment cost = $10,700 per year
$100,000 in total equipment cost = $21,199 per year

Unless expressly stated otherwise in this Quote # 725204-1 Rev 2 or the attachments, if Daktronics performs installation of the Equipment, the price quoted does not
include the following services pertaining to physical installations: digging of footings (including dirt removal), any materials fabrication, installation of steel cages, rebar, or
bolt attachments, or pouring and finishing of concrete footings. Those service may be provided for an additional cost beyond the quoted price. Purchaser shall be fully
responsible for any and all additional costs plus overhead in the event anything unexpected of any nature whatsoever is found while digging the footings including but are
not limited to rock, water, utility lines, pipes or any other unforeseen circumstance. The Purchaser acknowledges and agrees that it is fully responsible for all site conditions.

panels not approved in time, will be shipped without copy in Daktronics' standard finish.

A RESOLUTION OF THE LODI CITY COUNCIL ACCEPTING DAKTRONICS
SCOREBOARD DONATION FROM MEEHLEIS & SINCLAIR FOUNDATION
AND LODI BOOSTERS OF BOYS/GIRLS SPORTS; AND FURTHER
AUTHORIZING THE CITY MANAGER TO EXECUTE SCOREBOARD
DONATION AGREEMENT

WHEREAS, Meehleis & Sinclair Foundation (Meehleis) is a nonprofit 501(c)(3) with a
long-standing history in the City of Lodi of supporting youth sports activities; and
WHEREAS, Meehleis desires to donate funds in the amount of $14,817.59 for the
purchase of a new Daktronics scoreboard (Scoreboard) for use at Tony Zupo Field to City's
partner Lodi Boosters of Boys/Girls Sports (B.O.B.S.), a nonprofit 501(c)(3) whose mission is to
promote, volunteer, and raise funds to develop a system of sports activities in the City of Lodi;
and
WHEREAS, B.O.B.S. desires to accept the funds from Meehleis and in turn procure
Scoreboard for installation at Tony Zupo Field; and
WHEREAS, Scoreboard naming rights shall be granted to Meehleis & Sinclair
Foundation for at least 20 years or up until Scoreboard requires replacement, with first right of
refusal to fund replacement.
NOW, THEREFORE, BE IT RESOLVED that the Lodi City Council does hereby accept
the donation of funds in the amount of $14,817.59 for Scoreboard replacement at Tony Zupo
Field from Meehleis & Sinclair Foundation and B.O.B.S.; and
BE IT FURTHER RESOLVED that the Lodi City Council does hereby authorize the
City Manager to execute the Scoreboard Donation Agreement; and
BE IT FURTHER RESOLVED, pursuant to Section 6.3q of the City Council Protocol
Manual (adopted 11/6/19, Resolution No. 2019-223), the City Attorney is hereby authorized to
make minor revisions to the above -referenced document(s) that do not alter the compensation
or term, and to make clerical corrections as necessary.
