RECOMMENDED ACTION: Adopt a resolution authorizing the Fire Chief to
execute a Memorandum of Understanding
(MOU) with San Joaquin
County Emergency Medical Services Agency (SJCEMSA) for acceptance, transfer and
use of four (4) Lucas 3 Chest Compression Systems.
BACKGROUND INFORMATION: On January 26, 2020, the San Joaquin County
Board of Supervisors approved a request from
SJCEMSA to purchase 47 LUCAS 3, Version
3.1 Chest Compression System devices
(LUCAS Device) to equip first out fire apparatus operated by fire departments located in
San Joaquin County. On March 16, 2021, SJCEMSA received LUCAS Devices from
Stryker Sales Corporation. Each LUCAS Device has a one-year warranty and a device
maintenance agreement effective from March 9, 2022 through March 8, 2023 (the
"Maintenance Agreements").
The LUCAS Device enables prehospital care personnel on first out fire apparatus to
deliver high-quality chest compressions to adult cardiac arrest patients while reducing
exposure to respiratory aerosolized droplets including COVID-19. It has the ability to
provide uninterrupted quality chest compression to patients in full arrest and will
increase the survivability of cardiac arrest victims. The American Heart Association
(AHA) recommends that first responders arrive on scene within six minutes to provide
quality CPR for cardiac arrest patients. Deploying the Lucas devices on Fire Apparatus
is the best deployment strategy in order to meet the intent of AHA, and increase the
survivability of those suffering from a cardiac event. SJCEMSA and LFD desire to enter
into this MOU to provide for the acceptance, transfer, and use of LUCAS Devices from
SJCEMSA to LFD.
Upon the expiration of the agreement, the (4) four Lucas Devices will become property
of the Lodi Fire Department or may be returned to SJCEMSA.

Staff recommends authorizing the Fire Chief to execute a Memorandum of
Understanding (MOU) with San Joaquin County Emergency Medical Services Agency
for acceptance, transfer and use of four (4) Lucas 3 Chest Compression Systems.
FISCAL IMPACT: There will be no fiscal impact until FY 2024. Annual maintenance is
$1,200 annually per unit (approx. $4,800 per year)

MEMORANDUM OF UNDERSTANDING REGARDING ACCEPTANCE, TRANSFER,
AND USE OF LUCAS 3 CHEST COMPRESSION SYSTEM
This Memorandum of Understanding (MOU) Regarding Acceptance, Transfer, and use
of LUCAS 3 Chest Compression System is entered into between San Joaquin County
through its Emergency Medical Services Agency (SJCEMSA) and City of Lodi Fire
Department (LFD).
RECITALS
Whereas, on January 26, 2020, the San Joaquin County Board of Supervisors approved a
request from SJCEMSA to purchase 47 LUCAS 3, Version 3.1 Chest Compression
System devices (LUCAS Device) to equip first out fire apparatus operated by fire
departments located in San Joaquin County.
Whereas, on March 16, 2021, SJCEMSA received LUCAS Devices from Stryker Sales
Corporation. Each LUCAS Device has a one year warranty and a device maintenance
agreement effective from March 9, 2022 through March 8, 2023 (the "Maintenance
Agreements").
Whereas, the LUCAS Device enables prehospital care personnel on first out fire
apparatus to deliver high-quality chest compressions to adult cardiac arrest patients
while reducing exposure to respiratory aerosolized droplets including COVID-19.
Whereas, SJCEMSA and LFD desire to enter into this MOU to provide for the
acceptance, transfer, and use of LUCAS Devices from SJCEMSA to LFD.
Now therefore, SJCEMSA and LFD agree as follows:
1. SJCEMSA transfers and LFD accepts possession and ownership of the following
new, unused LUCAS Devices and responsibility for the associated Maintenance
Agreements:
a. Serial Number: 35215855; San Joaquin County Property Tag Number:
EMS 24-27196.
b. Serial Number: 35215857; San Joaquin County Property Tag Number:
EMS 24-27197.
c. Serial Number: 35215945; San Joaquin County Property Tag Number:
EMS 24-27198.
d. Serial Number: 35215958; San Joaquin County Property Tag Number:
EMS 24-27199.
2. LFD agrees to maintain the Lucas Devices in accordance with manufacture
recommendations and the Maintenance Agreement at no cost to SJCEMSA.
3. LFD agrees to equip LFD first out fire apparatus and use the Lucas Device for
the treatment of adult patients in cardiac arrest in accordance with SJCEMSA
policies and procedures.
4. LFD agrees to replace within 12 months any lost or damaged LUCAS Device
listed in this MOU with the same brand and model. LFD agrees to submit an
annual report on the operational status of the LUCAS Devices provided
pursuant to this MOU to the SJCEMSA on June 30, 2022, and June 30, 2023.
The report shall include an attestation as to the accuracy of the report.
5. LFD agrees to train their prehospital care personnel on the proper use and
maintenance of the LUCAS Device prior to placing devices in service. LFD
agrees to complete initial training of prehospital personnel within 60 daysof
acceptance of devices.
6. LFD agrees to provide sufficient WiFi access at each LUCAS Device storage
location to ensure proper transfer and downloading of data and LUCAS Device
software updates.
TERM:
This MOU shall commence of the effective date, which is the date the last party signs
this MOU, and shall continue through and including June 1, 2024, unless otherwise
modified, extended, or superseded in a writing by the parties.

Service details
Onsite Services are performed between 8 a.m. to 5 p.m. local time, Monday through Friday, excluding holidays. Customer is to ensure Covered Equipment is available for
Service at scheduled times or additional labor charges may apply. Some Services may not be completed onsite. Stryker will cover travel and/or round-trip freight for Covered
Equipment that must be sent to our designated facility for repair.
Ship -In Service will ship your device to the nearest service center for repairs and inspections. We use only original manufacturer parts, and services will be performed at a
designated Stryker facility. Stryker will cover round-trip shipping (ground only) for covered equipment sent to our designated facility for service.
Loaners will be provided if Covered Equipment must be removed from use to complete repairs. Stryker will strive to provide Customer with a similar loaner device until the
Covered Equipment is returned. Customer assumes complete responsibility for the loaner and shall return the loaner in the same condition as received, upon the earlier of the
return of the removed Covered Equipment or Stryker request.
Updates are changes to a device to enhance its current features, stability or software. Stryker will install Updates at no additional cost, provided such Updates are installed
at the time of regularly scheduled Services. Updates at a time other than regularly scheduled Services will be billed on a separate invoice at 20% off the then -current list price
of the Update. If parts must be replaced to accommodate installation of new software, such parts may be purchased at 30% off the then -current list price.
Upgrades are major, standalone versions of software or the addition of features or capabilities to a device. For all Service Plans, Upgrades are not provided under the Plan
and must be purchased separately. Upgrades are available at 17% off the then -current list price.
Service Plans do not include: supply or repair of accessories or disposables; repair of damage caused by misuse, abuse, abnormal operating conditions, operator errors, acts of
God, and use of batteries, electrodes or other products not distributed by Stryker; replacement or repair of cases; repair or replacement of items not originally distributed or
installed by Stryker; Upgrades and installation of Upgrades.

A RESOLUTION OF THE LODI CITY COUNCIL AUTHORIZING THE
FIRE CHIEF TO EXECUTE A MEMORANDUM OF UNDERSTANDING WITH
SAN JOAQUIN COUNTY EMERGENCY MEDICAL SERVICES AGENCY FOR
ACCEPTANCE, TRANSFER, AND USE OF FOUR LUCAS 3 CHEST
COMPRESSION SYSTEMS
WHEREAS, San Joaquin County Board of Supervisors approved a request from
San Joaquin County Emergency Medical Services Agency (SJCEMSA) to purchase 47 LUCAS 3,
Version 3.1 Chest Compression System devices (LUCAS Device) to equip first out fire apparatus
operated by fire departments located in San Joaquin County; and
WHEREAS, SJCEMSA received LUCAS Devices from Stryker Sales Corporation. Each
LUCAS Device has a one-year warranty and a device maintenance agreement effective from
March 9, 2022 through March 8, 2023; and
WHEREAS, the American Heart Association (AHA) recommends that first responders
arrive on scene within six minutes to provide quality CPR for cardiac arrest patients. Deploying
the Lucas devices on Fire Apparatus is the best deployment strategy in order to meet the intent
of AHA and increase the survivability of those suffering from a cardiac event; and
WHEREAS, upon the expiration of the agreement, the four Lucas Devices will become
property of the Lodi Fire Department or may be returned to SJCEMSA.
NOW, THEREFORE, BE IT RESOLVED that the Lodi City Council does hereby authorize
the Fire Chief to execute an MOU with San Joaquin County Emergency Medical Services Agency
for acceptance, transfer and use of four (4) Lucas 3 Chest Compression Systems; and
BE IT FURTHER RESOLVED, pursuant to Section 6.3q of the City Council Protocol
Manual (Res. No. 2019-223), the City Attorney is hereby authorized to make minor revisions to
the above -referenced document(s) that do not alter the compensation or term, and to make
clerical corrections as necessary.
