BACKGROUND INFORMATION: Alberto and Conrado Marquez (Developer) has submitted a building permit application (No. B2019-0163) to construct a food truck commissary on the property located at 1365 East Lockeford Street, as shown on Exhibit A. The EI Gallo Commissary Project (Project) includes the installation of frontage improvements along Guild Avenue and Lockeford Street, as well as, the extension of sanitary sewer and storm drain mains in Lockeford Street. Developer has requested to execute an improvement agreement to design and construct the public improvements to expedite construction of the on-site improvements. City staff has deemed this a reasonable request and included a condition requiring that the public improvements be completed prior to final acceptance of the Project. Construction of this project is anticipated to increase traffic volumes at the Victor Road/Guild Avenue intersection, which is governed by CalTrans. CalTrans is currently performing a traffic safety study at this location that considers the traffic impacts of this project and Cepheid expansion. Staff anticipates the traffic safety study to be completed by the end of this year. Developer has furnished the City with improvement plans, necessary agreements, guarantees, insurance certificates, and the required fees for the proposed project. Development Impact Fees will be collected as part of the building permit process, prior to issuing a certificate of occupancy. Staff recommends authorizing City Manager to execute Improvement Agreement for public improvements of 1365 East Lockeford Street (EI Gallo Commissary). FISCAL IMPACT: Not applicable. Once you have been awarded a contract you will receive an email from the City's online insurance program requesting you to forward the email to your insurance provider(s). Please see attached flyer regarding PINS Advantage. NOTE: Developer's Contractor agrees and stipulates that any insurance coverage provided to the City of Lodi shall provide for a claims period following termination of coverage which is at least consistent with the claims period or statutes of limitations found in the California Tort Claims Act (California Government Code Section 810 et seq.). "Claims made" coverage requiring the insureds to give notice of any potential liability during a time period shorter than that found in the Tort Claims Act shall be unacceptable. This endorsement shall be on the form furnished by K:\WP\DEV_SERV\Developments\Commercial-Industrial\Lockeford 1365 E\Improvement Agreement\ImpAgmt_EI Gallo doc 5 4/19/21 City and shall be included with Developer's Contractor's policies. An additional named insured endorsement is also required for Auto Liability. B. Primary and Nan -Contributory Insurance Endorsement Additional insurance coverage under the Developer's Contractor's policy shall be "primary and non-contributory" and will not seek contribution from City's insurance or self-insurance and shall be at least as broad as ISO form CG 20 01 04 13. C. Severability of Interest Clause The term "insured" is used severally and not collectively, but the inclusion herein of more than one insured shall not operate to increase the limit of the Developer's Contractor's liability. D. Waiver of Subrogation Include a waiver of subrogation against the City of Lodi, its elected and appointed boards, commissions, officers, agents, employees, and volunteers. A waiver is required for General Liability and Auto Liability. E. Any umbrella or excess insurance of Developer's Contractor shall contain, or be endorsed to contain, a provision that such coverage shall also apply on a primary and non-contributory basis for the benefit of the City before the City's own insurance or self-insurance shall be called upon to protect the City as a named insured. The City shall notify Developer's Contractor of such payment of premiums within thirty (30) days of payment stating the amount paid, the name(s) of the insurer(s), and rate of interest. Developer's Contractor shall pay such reimbursement and interest on the first (1S) day of the month following the City's notice. Notwithstanding any other provision of this Agreement, if Developer's Contractor fails or refuses to obtain or maintain insurance as required by this Agreement, or fails to provide proof of insurance, the City may terminate this Agreement upon such breach. Upon such termination, Developer's Contractor shall immediately cease use of the Site or facilities and commence and diligently pursue the removal of any and all of its personal property from the site or facilities. Should Developer or Developer's surety fail to act promptly or in accordance with this requirement, or should the exigencies of the case require repairs or replacements to be made before Developer can be notified, City may, at its option, make the necessary repairs or replacements or perform the necessary work, and Developer shall pay to City the actual cost of such repairs plus 15 -percent for administration and overhead costs. 18.
