to 2019-2021 Standby Generators Maintenance, Repair, and Rental to
Holt of California, of Pleasant Grove.
BACKGROUND INFORMATION: The City of Lodi owns and operates 28 emergency standby
generator sets that range in size between six kilowatt (kW) to 2000
kW. The generators are located at critical facilities where operation
during an extended power outage is necessary to maintain public health and/or safety. Since September
2013, the City has outsourced the specialized preventative maintenance required to provide reliable
operation. Appropriate generator maintenance is even more important now considering recent Pacific
Gas & Electric Public Safety Power Shutoffs.
On June 19, 2019, Council awarded the contract for 2019-2021 Standby Generators Maintenance,
Repair, and Rental to Holt of California, of Pleasant Grove, in the amount of $495,895, and authorized
the City Manager to execute change orders in an amount not to exceed $100,000.
In addition to regular maintenance and repair, Holt of California is contracted to provide a 2,000 kW
standby generator rental reserved for up to 21 days for backup power at the White Slough Water
Pollution Control Facility (WSWPCF). The generator is used during planned electric service interruption
resulting from maintenance activities at the Northern California Power Agency's power plant, and to meet
State requirements of redundant power supply for WSWPCF operations.
The current contract with Holt of California, set to expire on June 30, 2021, includes an option to extend if
mutually agreeable to the City and the contractor. Holt of California will not agree to extend the contract
under the current terms for the 2,000 kW generator rental and requests the standby rental period be
reduced to 14 days. As annual run-time for this generator is estimated, and varies each year, Staffs finds
this request acceptable.
Staff recommends authorizing City Manager to execute Amendment No. 1 to 2019-2021 Standby
Generators Maintenance, Repair, and Rental to Holt of California, of Pleasant Grove.
FISCAL IMPACT: By performing preventative maintenance efforts, the City will realize a
reduction in costly repairs and increased reliability of emergency standby
generators supporting critical facilitates. Approximately 15 percent of this
contract will impact the General Fund.

AMENDMENT NO. 1
HOLT OF CALIFORNIA
2019-2021 STANDBY GENERATOR MAINTENANCE, REPAIR, AND RENTAL
THIS AMENDMENT NO. 1 TO CONTRACT, is made and entered this day of
2021, by and between the CITY OF LODI, a municipal corporation (hereinafter
"CITY"), and GEORGE REED, INC., a California corporation (hereinafter "CONTRACTOR").
WITNESSETH:
1. WHEREAS, CONTRACTOR and CITY entered into a Contract on July 18, 2019 (the
"Agreement"), as set forth in Exhibit 1, attached hereto and made part of; and
2. WHEREAS, CITY requested to amend said Agreement to revise Bid Item No. 34 to reduce the
rental period from 21 days to 14 days at the current bid price of $65,014, as set forth in Exhibit
2, attached hereto and made part of; and
3. WHEREAS, City requested to extend the term of the Agreement from July 1, 2021 through
June 30, 2022; and
4'.' WHEREAS, CONTRACTOR agrees to said amendments.
NOW, THEREFORE, the parties agree to amend the Agreement as set forth above. All other
terms and conditions of the Agreement remain unchanged.
IN WITNESS WHEREOF, CITY and CONTRACTOR have executed this Amendment No. 1 on
the date and year first above written.

THIS CONTRACT made by and between the CITY OF LODI, State of California, herein
referred to as the "City," and HOLT OF CALIFORNIA, a California corporation, herein
referred to as the "Contractor."
WITNESSETH:
That the parties hereto have mutually covenanted and agreed, and by these presents do
covenant and agree with each other, as follows:

All of the above documents, sometimes hereinafter referred to as the "Contract
Documents," are intended to cooperate so that any work called for in one and not
mentioned in the other is to be executed the same as if mentioned in all said documents.
ARTICLE I - That for and in consideration of the payments and agreements hereinafter
mentioned, to be made and performed by the City and under the condition expressed in the
two bonds bearing even date with these presents and hereunto annexed, the Contractor
agrees with the City, at Contractor's cost and expense, to do all the work and furnish all the
materials except such as are mentioned in the specifications to be furnished by the City,
necessary to construct and complete in a good workmanlike and substantial manner and to
the satisfaction of the City the proposed improvements as shown and described in the
Contract Documents which are hereby made a part of the Contract.
ARTICLE II - The City hereby promises and agrees with the Contractor to employ, and does
hereby employ, the Contractor to provide all materials and services not supplied by the City
and to do the work according to the terms and conditions for the price herein, and hereby
contracts to pay the same as set forth in Section 5.600, "Measurement, Acceptance and
Payment," of the General Provisions, in the manner and upon the conditions above set
forth; and the said parties for themselves, their heirs, executors, administrators, successors
and assigns, do hereby agree to the full performance of the covenants herein contained.
ARTICLE III - The Contractor agrees to conform to the provisions of Chapter 1, Part 7,
Division 2 of the Labor Code. The Contractor and any Subcontractor will pay the general
prevailing wage rate and other employer payments for health and welfare, pension,
vacation, travel time, and subsistence pay, apprenticeship or other training programs, The

responsibility for compliance with these Labor Code requirements is on the prime
contractor.
ARTICLE IV - And the Contractor agrees to receive and accept the following prices as full
compensation for furnishing all materials and for doing all the work contemplated and
embraced in this agreement; also for all loss or damage arising out of the nature of the work
aforesaid or from the action of the elements, or from any unforeseen difficulties or
obstructions which may arise or be encountered in the prosecution of the work until its
acceptance by the City, and for all risks of every description connected with the work; also
for all expenses incurred by or in consequence of the suspension or discontinuance of work
and for well and faithfully completing the work, and the whole thereof, in the manner and
according to the Plans and Contract Documents and the requirements of the Engineer
under them, to -wit:
Perform the work necessary to maintain and repair of 28 standby generators as described
in the project specifications. The generators range in size from 6KW to 2000KW at various
facilities throughout the City.
The length of the contract will be twenty-four (24) months, starting July 1, 2019 and ending
June 30, 2021. The contract may be extended annually (not to exceed 6 years total) with
the same prices and terms if mutually agreed upon by the Contractor and City,

i'.IZ FIC:! E V - By my signature hereunder, as Contractor, I certify that I am aware of the
provisions of Section 3700 of the Labor Code, which requires every employer to be insured
against liability for workers' compensation or to undertake self-insurance in accordance with
the provisions of that code, and I will comply with such provisions before commencing the
performance of the work of this contract.
ARTICLE VI - It is further expressly agreed by and between the parties hereto that, should
there be any conflict between the terms of this instrument and the Bid Proposal of the
Contractor, then this instrument shall control and nothing herein shall be considered as an
acceptance of the said terms of said proposal conflicting herewith.
ARTICLE Vll - The City is to furnish the necessary rights-of-way and easements and to
establish lines and grades for the work as specified under the Special Provisions. All labor
or materials not mentioned specifically as being done by the City will be supplied by the
Contractor to accomplish the work as outlined in the specifications.
ARTICLE VIII - The length of the contract will be twenty-four (24) months, starting July 1,
2019 and ending June 30, 2021. The contract may be extended if agreed upon by the
Contractor and the City.
ARTICLE IX - State of California Senate Bill 854 requires the following:
No contractor or subcontractor may be listed on a bid proposal for a public works
project unless registered with the Department of Industrial Relations pursuant to
Labor Code section 1725,5 (with limited exceptions from this requirement for bid
purposes only under Labor Code section 1771.1(a)].
No contractor or subcontractor may be awarded a contract for public work on a
public works project unless registered with the Department of Industrial Relations
pursuant to Labor Code section 1725.5.
This project is subject to compliance monitoring and enforcement by the Department
-of Industrial Relations. -

Holt of California and City of Lodi agree to the following revised rental terms below:
Item 34 for 2000 KW Rental will consist of a 14 -day rental period (formerly 21 -day
rental) for the current bid price of $65,014.00. Rental taxes will be paid in addition to
the bid price. Note that each additional 7 -day rental will be charged in halves. Such that
if the rental was required for 21 days. The City would be billed for a quantity of 1.5 times
the bid price (1.5*$65,014) =$97521

RESOLUTION NO. 2021-115
A RESOLUTION OF THE LODI CITY COUNCIL AUTHORIZING THE
CITY MANAGER TO EXECUTE AMENDMENT NO. 1 TO THE 2019-2021
STANDBY GENERATORS MAINTENANCE, REPAIR, AND RENTAL
CONTRACT WITH HOLT OF CALIFORNIA, OF PLEASANT GROVE
WHEREAS, the City of Lodi owns and operates 28 emergency standby generator sets
that range in size between six kilowatt (kW) to 2000 kW located at critical facilities where
operation during an extended power outage is necessary to maintain public health and/or
safety; and
WHEREAS, on June 19, 2019, Council awarded the contract for the 2019-2021 Standby
Generators Maintenance, Repair, and Rental to Holt of California, of Pleasant Grove, in the
amount of $495,895, and authorized the City Manager to execute change orders in an amount
not to exceed $100,000; and
WHEREAS, the current contract with Holt of California, set to expire on June 30, 2021,
includes an option to extend if mutually agreeable to the City and the contractor; however, Holt
of California will not agree to extend the contract under the current terms for the 2,000 kW
generator rental and requests the standby rental period be reduced to 14 days; and
WHEREAS, staff recommends authorizing the City Manager to execute Amendment
No. 1 to the 2019-2021 Standby Generators Maintenance, Repair, and Rental contract with Holt
of California, of Pleasant Grove.
NOW, THEREFORE, BE IT RESOLVED that the Lodi City Council does hereby
authorize the City Manager to execute Amendment No. 1 to the 2019-2021 Standby Generators
Maintenance, Repair, and Rental contract with Holt of California, of Pleasant Grove, California,
thereby extending the term of the contract through June 30, 2022, and revising Bid Item No. 34
to reduce the rental period from 21 days to 14 days; and
BE IT FURTHER RESOLVED, pursuant to Section 6.3q of the City Council Protocol
Manual (adopted 11/6/19, Resolution No. 2019-223), the City Attorney is hereby authorized to
make minor revisions to the above -referenced document(s) that do not alter the compensation
or term, and to make clerical corrections as necessary.
