HomeMy WebLinkAboutResolutions - No. 82-129RESOLUTION NO. 82-129 RESOLUTION APPROVING AN AGREEMENT BETWEEN THE CITY OF LODI AND THE COUNTY OF SAN JOAQUIN FOR DIAL-A-RIDE TRANSPORTATION IN THE WOODBRIDGE AREA AND AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE THE AGREEMENT ON BEHALF OF THE CITY RESOLVED that the City Council of the City of Lodi does hereby approve an Agreement between the City of Lodi and the County of San Joaquin for Dial-A-Ride Transportation in the Woodbridge area, a copy of which is attached hereto, marked Exhibit A and thereby made a part hereof. BE IT FURTHER RESOLVED that the City Council of the City of Lodi does hereby authorize the Mayor and City Clerk to execute the agreement on behalf of the City. Re1.mche City Clerk I • AGREEMEl\1T THIS AGREEMENT, made and entered into this ---day of _______ , 1982, by and between the CITY OF LODI, a muni�ipal corporation, hereinafter referred to as CITY, and the COUNTY OF SAN JOAQUIN, a political subdivision of the State of California, hereinafter refen�d to as COUNTY. WITNESS ETH: WHEREAS, CITY is presently operating a low-cost transportation system to the residents of the City of Lodi, commonly known as Lodi Dial-A-Ri.de; and WHEREAS, the Board of Supervisors of COUNTY and the San Joaquin County Council of Governments (COG) have identified the transit needs of the unincorpora�_ed area of Woodbridge; and WHEREAS, it has been det�rmined that the most feasible method of serving the Woodbridge area transit needs is through an agree­ ment extending the service area of the current Lodi Dial-A-Ride system to the Woodbridge area; NOW, THEREFORE, the parties hereto, for and in consideration of the charges, terms, covenants, and agreements contained herein, agree as follows: 1.INCORPORATION BY REFERENCE. That agreement dated December 31, 1981, by and t�tween CITY and Wynston Mar�rave and Rae Neel Hargrave, doing business as ' • City Cab Co., and that document entitled OPERATIONAL POLICY FOR LODI DIAL-A-RIDE are hereby incorporated herein by this reference as Exhibit A and EAhibit B, respectively. 2.SCOPE OF SERVICES. CITY agrees to provide sufficient vehicles to operate a dial-a-ride transit syst�m in the unincorporated area of Woodbridge depictej on Exhibit C, a copy of which is attached hereto and by this reference incorporated herein, between the hours of 7:00 A.M. and 7:00 P.M., Monday through Friday of each week, excluding holidays (New Year's Day, Washington's Birthday, Memorial Day, July 4th, Labor Day, Thanksgiving Day and Christmas Day). Services provided pur�uant to this agreement shall meet all applicabl•� requ!.rements of Exhibit A and Exhibit B herein. CITY agrees to negotiate the revision uf the present service area to include the area depicted on Exhibit C herein. 3. TERM. The term of this agreement shall be a period of one (1) year commencing on December 15, 1982, and terminating on December 14, 1983, subject to earlier termination upon the cancellation or termination of that agreement incorporated herein as Exhibit A. However, commence- ment of service shall be conditioned upon the funding of a State Transit Assistance (STA) grant. 4.COfPENSATION. In consideration for dial-a-ride services provided pursuant to this agreement, COUN1'Y agrees to compensate CITY for each dial- a-ride ticket presented to COUNTY at the rate of THREE OOLLARS FIFI'V CENTS ($3.50), ONE DOLLAR ($1.00) of which shall be received from ea ch passenger transported. Tickets for Woodbridge dial-a-ride - 2 - ·• passengers shall be furni�hed by CITY and shall be co lor coordinated so as to be distinguishable from Lodi oial-a-ride tickets. Prices for Woodbridge dial-a-ride tickets shall be within the sole dis­ cretion of COUNTY. COUNTY Agr�es to pay CITY for services provided pursuant to this agreement within ten (10) working days of receipt of a bi­ �ckly invoice from CITY. The bi-weekly invoice shall be mailed to: 5.INSURANCE. Department of Public Works Attn: Doralee Bowles Post Office Box 1810 Stockton, California 95201 CITY agrees to obtain for COUNTY insurance coverage 43 an addit ional insured and indemnification under the terms and conditions provided in Exhibit A herein from Wynston Hargrave and Rae Neel Hargrave, doing business as City Cab Co. In addition to the extent not covered by prvvisions of Exhibit A herein, COUNTY agrees to indernni fy ,cind hold CITY free and run.-m­ less frcm any claim or demand for damages to persons or property that may occur as a result of performauce of this agreement. 6.RECORDS. CITY agrees to supply COUNTY will all records and information necessary to satisfy State and feoeral grant and audit requirements. CITY shall permit authorized representatives of COUNTY, the U. S. Department of Transportation, and the Compt roller General of the United States and the St-ate or its designated representatives tc., - 3 - I .• inspect and audit all data and records relating to the perfoil"Nl'' of this agreement.
