RECOMMENDED ACTION: That the City Council authorize the City Manager to execute the attached
NCPA Member Trade Delegation document.
BACKGROUND INFORMATION: The Northern California Power Agency (NCPA) and its members have been
working for some time to develop detailed Trade and Risk Management
Policies, Procedures and Processes covering power purchases and sales.
With the current market volatility, it is necessary to quickly respond to changes in the electric and natural gas
marketplaces in order to minimize risk while enhancing opportunities to lower the City's price for bulk purchased
power.
NCPA is currently authorized to schedule, purchase and sell resources on behalf of the City of Lodi along and other
NCPA Power Pool members. This authorization is to affirm the City's intent to continue with the present arrangement
as modified from time to time by the NCPA Risk Management Policies, Procedures and Processes document.

NCPA Member Trade Delegation
NCPA has initiated implementation and development of Trade and Risk Management
Policies, Procedures and Processes. To further control and limit risks associated with the
power procurement process, City of Lodi (NCPA Member) authorizes and
directs NCPA to enter into physical and financial electric power contracts with third party
vendors associated with the purchases and sales of electric power in accordance with the
NCPA Trade and Risk Management Policies, Procedures and Processes.. This
authorization and direction delegates to NCPA the ability to act on Members behalf
without consultation or concurrence.
I, H. Dixon Flynn , attest that I have the authority to authorize and hereby authorize
NCPA to act on City of Lodi (NCPA Member) behalf as described above. I
warrant and represent that I have been delegated all requisite authority to act on behalf of,
and to legally bind, through delegations to contract, the NCPA Member that employs me.
A resolution or letter of representation regarding my authority has been filed with the
Secretary of NCPA.

A RESOLUTION OF THE LODI CITY COUNCIL AUTHORIZING
THE CITY MANAGER TO EXECUTE THE NORTHERN
CALIFORNIA POWER AGENCY (NCPA) MEMBER TRADE
DELEGATION DOCUMENT ON BEHALF OF THE CITY OF LODI
BE IT RESOLVED, by the City Council of the City of Lodi that the City Manager is
hereby authorized to execute the Northern Califomia Power Agency (NCPA) Member
Trade Delegation Document on behalf of the City of Lodi.

Council of the City of Lodi in a regular meeting held April 5, 2000, by the following vote:
