HomeMy WebLinkAboutResolutions - No. 2018-48RESOLUTION NO. 2018-48 A RESOLUTION OF THE LODI CITY COUNCIL AUTHORIZING THE CITY MANAGER TO EXECUTE A SECOND PHASE AGREEMENT FOR THE NORTHERN CALIFORNIA POWER AGENCY SOLAR PROJECT 1 AND APPROVING SITES TO CONSIDER FOR POSSIBLE SOLAR PROJECT DEVELOPMENT ------------------------------------------------------------------------ ------------------------------------------------------------------------ WHEREAS, the City of Lodi ("Lodi") is a signatory to the Joint Powers Agreement which created the Northern California Power Agency ("NCPA") and therefore is a Member; and WHEREAS, Lodi and other NCPA Members have executed the Amended and Restated Facilities Agreement which establishes the framework under which Project Agreements are created for the development, design, financing, construction, and operation of specific NCPA Projects; and WHEREAS, NCPA and its members ("Participants") are working to develop multiple photovoltaic solar power plants ("Project") throughout member service territories to meet renewable energy requirements; and WHEREAS, Participants desire to utilize NCPA as a project manager to oversee study, planning and operations of the Project, including solicitation of a third party developer to build, own, and operate the Project; and WHEREAS, Lodi anticipates selecting one or more sites as identified in Exhibit A within its service territory for Project development; and WHEREAS, a Second Phase Agreement is needed to provide all means necessary for NCPA to complete all pre -construction activities associated with the Project and to enable and obligate Participants to pay all costs incurred for undertaking the foregoing activities; and WHEREAS, the total not to exceed cost of Lodi's share of the Second Phase Agreement is $1,125,000; the final cost of which will depend on the sites selected and project capacity; and WHEREAS, on February 23, 2018, the Risk Oversight Committee ("ROC") received a report and recommended that staff move forward with this Project, including approval of the Second Phase Agreement, approval of the Lodi sites identified in Exhibit A for potential development, and delegation of authority to the City Manager with ROC approval to execute Project Development Authorization Forms once ROC has selected the final Lodi Project sites to continue preliminary planning and development activities. NOW, THEREFORE, BE IT RESOLVED that the Lodi City Council does hereby authorize the following: 1. The City Manager to execute a Second Phase Agreement for the NCPA Solar Project 1 at a cost not to exceed $1,125,000. 2. Approval of the Lodi sites identified in Exhibit A for potential solar project development with final site selection to be made by the Risk Oversight Committee. 3. Delegation of authority to the City Manager, with Risk Oversight Committee approval, to execute Project Development Authorization Forms for final selected Project sites in Lodi to continue preliminary planning and development activities.
