RECOMMENDED ACTION: Adopt resolution authorizing City Manager to execute Memorandum of
Understanding for Downtown Parking Meter Pilot Study with Municipal
Parking Services, Inc., of Minnetonka, Minn.
BACKGROUND INFORMATION: Over the past several months, the Public Works Department has been
working with the Downtown Business Alliance to address concerns
about the utilization of the City's downtown parking facilities.
Some of the concerns include business owners and employees parking in front of downtown businesses,
parking violations, safety, walking too far, and a shortage of employee parking spaces. City staff has been
addressing concerns by adding additional lighting and security services at the parking structure and
initiating a downtown shuttle route focused on providing employees rides from the parking structure (where
they can park at no charge) to their respective places of work.
Parking meters have also been considered as an option to address not only the concerns noted above, but
to also provide an opportunity to increase City revenue for downtown maintenance, repairs, and
improvements. Modern parking meter systems offer many benefits that could incentivize business activity
and add to the security and safety of the downtown core.
At the July 11, 2017 Shirtsleeve Session, a representative from Municipal Parking Services, Inc. (MPS),
provided a presentation on their Smart City Parking Platform (System) and the proposed pilot study. At no
obligation to the City, MPS offers to install and operate four meters covering eight spaces on School Street,
between Oak Street and Walnut Street, for a period of 30 days, unless otherwise extended by mutual
agreement. The data collected will be used to demonstrate whether or not the system will be valuable to
the City of Lodi. Feedback indicated Council generally supported moving forward with the pilot study. If
approved, the pilot System is scheduled to be installed mid- to late -September 2017.
FISCAL IMPACT: During the pilot period, 100 percent of all System revenue will go to the City of
Lodi. If the City does not choose to move forward with implementing the
System in the downtown area, MPS will remove the pilot system at no charge.
FUNDING AVAILABLE: Not applicable.

MEMORANDUM OF UNDERSTANDING FOR PILOT OF MPS PARKING PLATFORM AND
STUDY
OVERVIEW
Municipal Parking Services, Inc., a Minnesota corporation ("MPS") and the City of Lodi, a
California municipal corporation ("City"), wish to conduct a pilot demonstration of the MPS's Smart
City Parking Platform, which includes a smart meter, mobile consumer wayfinding and payment app,
cloud based parking data reporting and enhanced automated enforcement and optional public safety
features.
DURATION OF PILOT PROGRAM
The Parties agree that the pilot program shall begin no later than September 11, 2017, or on a date,
before or after, mutually agreed to by the Parties, and automatically expire 30 days after the actual
Pilot meter deployment date. The Parties agree that the target date for the installation of meters is the
week of September 11, 2017, or on a date, before or after, mutually agreed to by the Parties.
BEFORE & AFTER TECHNOLOGY PILOT PERIOD
Prior to the pilot, MPS and City will review available historical data on the total number of street
parking spaces, payment compliance and the issuance of violations. At the commencement of the
pilot. MPS will install the pilot meters at no cost to the City. During the pilot period, MPS will use
the pilot meters to collect parking data. At the conclusion of the pilot, MPS will remove the pilot
meters. After the meters have been removed, MPS will provide a summary and analysis of key
parking variables including payment forms, space turnover, compliance and instances of overtime
and non-payment of meters. It is the desire of all parties to have the pilot meters installed as soon as
practical. The pilot period shall end thirty (30) days after the pilot meters are installed and functional
unless otherwise extended by mutual written agreement of the City and MPS.
NUMBER OF METERS
During the pilot period, MPS agrees to install and operate 4 meters covering 8 spaces on School
Street, between West Oak Street and West Walnut Street, or in a location mutually agreed upon
between the Parties, including a possible second pilot location at Lodi Lake Park.

INTEGRATION
To avoid delays in deploying the pilot meters and to demonstrate full capabilities of the MPS
platform, there will be no integration with any back -end parking -related applications currently
utilized by the City.
PAYMENT PROCESSING & COIN COLLECTION
MPS will provide all credit card payment processing of paid parking sessions at MPS pilot meters
during the pilot period and make payments to the City at the end of the pilot period. City will be
responsible for coin collection and basic maintenance and troubleshooting (e.g. clearing coin jams).
MPS is affirms that it is PCI compliant and certified.
SERVICES & TRAINING
MPS will service the Smart City Parking Platform during the pilot and provide training in basic
maintenance training to City enforcement, collections and maintenance personnel.
ECONOMIC TERMS DURING PILOT AND POST -PILOT STAGE
(a) Parking Fees and Fines During Pilot. All (100%) of verified parking fees and fines ("System
Revenue") will accrue to the account of the City.
(b) Costs of installation. MPS shall pay for all costs associated with the pilot. MPS will procure
licensed and properly insured contractors who will name the City as an additional insured
party by policy endorsement on all policies of liability insurance, obtain all permits for and
commence and complete the installation of the pilot meters in coordination with City. The
City will designate a contact person with whom MPS will coordinate the installation of pilot
meters. MPS will be responsible for training appropriate City personnel in the use of the
meters, collecting coins from the meters, etc. MPS agrees to pay all costs for equipment,
software, and installation; power/data connections; credit card and other costs for processing,
data hosting, and violation reporting during pilot.
MISCELLANEOUS
(a) Any amendments or modifications to this MOU will not be effective unless contained in a
writing signed by both Parties.
(b) This MOU shall be interpreted and construed under the laws of the State of California. The
forum for any dispute arising out of this Agreement shall be the courts in San Joaquin
County.

(c) The parties signing this MOU acknowledge that they are authorized to enter into this MOU
on behalf of the party they purport to represent.

A RESOLUTION OF THE LODI CITY COUNCIL AUTHORIZING THE
CITY MANAGER TO EXECUTE A MEMORANDUM OF

WHEREAS, over the past several months, the Public Works Department has been

WHEREAS, parking meters have also been considered as an option to not only address
concerns, but to also provide an opportunity to increase City revenue for downtown
maintenance, repairs, and improvements; and
WHEREAS, Municipal Parking Services, Inc., offers to install and operate, at no charge
to the City, four meters covering eight spaces on School Street, between Oak Street and
Walnut Street, for a period of 30 days, unless otherwise extended by mutual agreement; and
WHEREAS, during the pilot period, 100 percent of all System revenue will go to the City

WHEREAS, staff recommends authorizing the City Manager to execute a Memorandum
of Understanding for Downtown Parking Meter Pilot Study with Municipal Parking Services, Inc.,
of Minnetonka, Minnesota.
NOW, THEREFORE, BE IT RESOLVED that the Lodi City Council does hereby
authorize the City Manager to execute a Memorandum of Understanding for Downtown Parking
Meter Pilot Study with Municipal Parking Services, Inc., of Minnetonka, Minnesota, at no charge
to the City.
