HomeMy WebLinkAboutAgenda Report - June 4, 1997 (60)CITY OF I,ODI COUNCIL COMMUNICATION AGENDA TITLE: Lodi Central City Revitalization Project - Downtown Professional Services Agreements for Architectural Construction Services and Gateway Artwork MEETING DATE: June 4, 1997 PREPARED BY: Public Works Director RECOMMENDED ACTION: That the City Council authorize the City Manager to execute an agreement with Bob Resch, dba Princeton Welding, for the grapevine sculpture on the School Street gateway in the amount of $65,000, and to amend the professional services agreement with Freedman, Tung & Bottomley (FTS) to include construction services, in an amount not to exceed $165,000. BACKGROUND INFORMATION: At its February 5, 1997 meeting, the City Council awarded the construction contracts for the Central City Revitalization Project and appropriated funds for the project. The staff report indicated that a number of items included in the project budget and appropriations were not ready for final action. Those items included professional services agreements for the creation of the grapevine sculpture on School Street and construction services with FTS. Sculpture The gateway design, approved as part of the concept plan, includes a metal grapevine sculpture as drawn in Exhibit A. During the design phase, FTB searched for suitable artists for this work and, along with City staff and representatives from the Arts Commission, interviewed two artists. The group selected Bob Resch, owner of Princeton Welding located near Half Moon Bay, to do the sculpture. Mr. Resch's combination of artistic sense and practical approach were key factors in this decision. As Princeton Welding, Mr. Resch successfully bid on a portion of the subcontracting work for the gateway and is now a subcontractor to Diede Construction for the structural steel for the dome tops and the trellis spanning School Street to which the sculpture will be attached. During the course of the project, staff has discussed various details of the sculpture with Mr. Resch and is confident we will be pleased with his work. There are still some coordination details to be worked out and the attached agreement (Exhibit B) is still in draft form, but has been reviewed by the City Attorney. In order to avoid delay on the project, staff is requesting that the Council authorize the City Manager to execute the final agreement once the details are completed. Construction Services Since the award of the construction projects, FTB has continued to assist staff in construction administration. Staff has worked with FTB to minimize the cost of outside services and is doing much of the work normally done by FTB and their subconsultants. A letter from Michael Freedman, along with the estimated task list and hours, is attached (Exhibit C). The letter describes the various phases of work being done by FTB and the City. In addition, the City is providing daily inspection, submittal processing and is handling electrical, civil and landscaping issues. Since the City already has an agreement with FTB covering design, with Council approval we will issue an addendum to that agreement covering this work. FUNDING: Already included in project budget. Dixon Flynn -- City Manager CAGMTS.00G 05128197 Exhibit A Exhibit B LODI CENTRAL CITY REVITALIZATION IMPROVEMENT PROJECT GATEWAY GRAPEVINE SCULPTURE AGREEMENT '0 4OP4 AGREEMENT made as of the day of 19 between Princeton Welding (hereafter referred to as the "Artist'), located at Half Moon Bay, California, and the City of Lodi ( hereinafter referred to as the "City"). WHEREAS, the Artist is a recognized professional artist and welding craftsman; and WHEREAS, the City admires the work and skill of the Artist and wishes to commission the Artist to create a steel grapevine sculpture ("the Sculpture") for the Lodi Gateway as part of the Downtown Revitalization Improvement Project; and WHEREAS, the Artist has been retained by the General Contractor for the Downtown Project ("the Project") as a subcontractor for portions of the structural steel to which the artwork will be attached of said Gateway; and, WHEREAS, the parties wish to have the creation of this sculpture governed by the mutual obligations, covenants and conditions herein; NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants hereinafter set forth and other valuable considerations, the parties hereto agree as follows: 1. Component Design - The Artist hereby agrees to first create the following sample components, including coatings for the Sculpture: a. Leaves b. Grape cluster c. Cane with tendrils d. Attachment scheme e. Sample coatings of powder coat, zinc chromate electro plating and paint 2. Preliminary Design. Upon approval of the components, the Artist hereby agrees to create the preliminary design for the Sculpture consisting of full-size work for one trellis section and one dome panel. The Artist agrees to develop the preliminary design according to the applicable provisions of the Specifications for the Project. The design and total Sculpture shall include: -- fabricated grape clusters from a combination of hollow and steel spheres, up to 70 clusters; -- fabricated Zinfandel grape leaves from 12 gage sheet steel, hand cut and textured from — basic patterns, up to 260 leaves; fabricated canes and tendrils as required from solid untwisted steel round stock; consultations as necessary with Gateway structural engineer to assure adequate attachment details and adherence with weight limitations; assembly and attachment of Sculpture to Gateway w vr� ArtworkUoo The Artist shall deliver the preliminary design to the City within days of the date hereof. The City may, within two weeks of receipt of the preliminary design, request changes. 3. Final Design. Upon approval of the preliminary design, the Artist shall proceed with the completion of the Sculpture in conformance with the Project Specifications, except that the design shall provide for a detachable Sculpture in lieu of fabricating the Gateway with removable grid panels. 4. Progress Payments. The Artist agrees to proceed with construction of the Sculpture, and the City agrees to pay the price of $ for the Sculpture as follows: $ upon the giving of written approval of the component design; $ upon the giving of written approval of the preliminary design; $ upon the completion of the Sculpture at Artist's shop; and $ upon the installation of the completion of the Sculpture. The above compensation shall include all materials, labor, taxes, shipping, insurance and other expenses for completion of the Sculpture. Completion of the Sculpture is to be determined by mutual agreement of the Artist and City. The City shall have a right to inspect the Sculpture in progress upon reasonable notice to the Artist. 5. Date of Delivery. The Artist agrees to complete the Sculpture within the contract time as stipulated in the construction contract under which Artist is a subcontractor. The completion date shall also be extended in the event of delays caused by events beyond the control of the Artist, including but not limited to fire, theft, strikes, shortages of materials, and Acts of God. Time shall not be considered of the essence with respect to the completion of the Sculpture. Actual delivery shall be coordinated with the construction of the Gateway. 6. Insurance, Shipping, and Installation. The Artist agrees to keep the Sculpture fully insured against fire and theft and bear any other risk of loss until delivery to the City. In the event of loss caused by fire or theft, the Artist shall use the insurance proceeds to recommence the making of the Sculpture. Upon completion of the Sculpture, it shall be shipped at the expense of Artist Project site. The Artist shall assist in said installation as provided in the Project Specifications. 7. Termination. This agreement may be terminated on the following conditions: (A) If the City does not approve the preliminary design pursuant to Paragraph 1, the Artist shall keep all payment made and this Agreement shall terminate. (B) The City may, upon payment of any progress payment due pursuant to Paragraph 2 or upon payment of an amount agreed in writing by the Artist to represent the pro rate portion of the price in relation to the degree of completion of Sculpture, terminate this Agreement. The Artist hereby agrees to give Adwork2.doc promptly a good faith estimate of the degree of completion of the Sculpture if requested by the City to do so. (C) The Artist shall have the right to terminate this Agreement in the event the City is more than sixty days late in making any payment due pursuant to Paragraph 2, provided, however, nothing herein shall prevent the Artist bringing suit based on the City's breach of contract. (D) The City shall have the right to terminate this Agreement if the Artist fails without cause to complete the Sculpture within thirty days of the completion date in Paragraph 3. In the event of termination pursuant to this subparagraph, the Artist shall return to the City all payments made pursuant to Paragraph 2, but shall not be liable for any additional expenses, damages, or claims of any kind based on the failure to complete the Sculpture. (E) The City shall have a right to terminate this Agreement if, pursuant to Paragraph 3, the illness of the Artist causes a delay of more than six months in the completion date or if events beyond the Artist's control cause a delay of more than one year in the completion date, provided, however, that the Artist shall retain all payments made pursuant to Paragraphs 1 and 2. (F) The exercise of a right of termination under this Paragraph shall be written and set forth the grounds for termination. 8. Ownership. Title to the Sculpture shall remain in the Artist until the Artist is paid in full. In the event of termination of this Agreement pursuant to Subparagraphs (A), (B), (C), or (D) of Paragraph 5, the Artist shall retain all rights of ownership in the Sculpture and shall have the right to complete, exhibit, and sell the Sculpture if the artist so chooses. In the event of termination of this agreement pursuant to Paragraph 5 (E) or (F), the City shall own the Sculpture in whatever degree of completion and shall have the right to complete exhibit and sell the Sculpture if the City so chooses. Notwithstanding anything to the contrary herein, the artist shall retain all rights of ownership and have returned to the Artist the preliminary design, all incidental Sculptures made in the creation of the Sculpture, and all copies and reproductions thereof and of the Sculpture itself, provided, however, that in the event of termination pursuant to Paragraph 5 (E) or (F) the City shall have a right to keep copies of the preliminary design for the sole purpose of completing the Sculpture. 9. Copyright. The City reserves all rights of reproduction and all copyrights in the Sculpture, the preliminary design, and any incidental Sculptures made in the creation of the Sculpture. Copyright notice in the name of the City shall appear on the Sculpture, and the City shall also receive ownership credit in connection with the Sculpture or any reproductions of the Sculpture. Artist may use photographs of other images of the sculpture in publications, brochures or other media for the purpose of demonstrating or giving examples of Artist's Sculpture. All other reproductions or copies of the Sculpture shall be prohibited unless specifically agreed to by the City in writing. Artworkldcc 10. Non-Assi nabilit . Neither art hereto shall have the right to assign this 9 Y party 9 9 Agreement without the prior written consent of the other party. The Artist shall, however, retain the right to assign monies due to the Artist under the terms of this Agreement. 11. Heirs and Assigns. This Agreement shall be binding upon the parties hereto, their heirs, successors, assigns, and personal representatives, and references to the Artist and the City shall include their heirs, successors, assigns, and personal representatives. 12. Integration. This Agreement constitutes the entire understanding between the parties. Its terms can be modified only by an instrument in writing signed by both parties. 13. Waivers. A waiver of any breach of any of the provisions of this Agreement shall not be construed as a continuing waiver of other breaches of the same or other provisions hereof. 14. Notices and Changes of Address. All notices shall be sent to the Artist at the following address and to the City at the following address: P.O. Box 3006, Lodi, CA 95241-1910. Each party shall give written notification of any change of address prior to the date of said change. 13. Governing Law. This Agreement shall be governed by the laws of the State of California. The Scope covers post -bid services for both the Downtown and Cherokee Lane construction projects. You will note that the scope includes miscellaneous post -bid services that FTB has already provided, such as bid phase services, attendance at pre-bid and post - bid meetings, tree inspection and the like. I have attempted to note completed items with an asterisk on the spreadsheet, but some that are in process right now, might not be so indicated. The purpose of this memo is to elaborate on various aspects of the scope that the attached spreadsheet does not make explicit. Description of Services: Review product BFI's, shop drawings and material finish and color samples for conformance with the intent of the construction documents. Provide the minimum on-site observation and fabrication site observation necessary to protect the quality of the City's project as delineated in the bid documents. In addition, assist the City with the selection and review of City furnished items and attend regular project meetings during the course of the project up to assist city and contractor to keep on schedule and avoid costly delays or missed items. Provide project documentation, routing and tracking for items FTB is responsible for processing. 4: Kearny ,Street, Suite 500 San Francisco, G4 94108 5522 Tc t: 415.291.9455 Fax 4 i5.291.963 3 Construction Administration Scope of Services, Page 2 Division of Responsibilities: The Scope of Services makes the following assumptions regarding the primary division of responsibilities between the City and FTB: The City will provide the day to day on site inspections assisted by third parry inspection/testing companies. 2. The Engineering Department will perform all Owner's Representative functions. Most importantly, all contractor submittals will be sent to the City. The City will deal with Contractor disputes, payments, and all other direct contractor communications. , 3. FTB will receive and respond to all contractor submittals, mock-ups, items needed response pertaining to streetscape furniture and aesthetics, gateway and kiosk (including gateway and kiosk structural and electrical engineering). Landscaping items will be shared between the City and FTB as specified below. The City Engineering Department will be responsible for the handling of all other contractor submittals, including those pertaining to civil, irrigation, streetscape electrical engineering. All contractor submittals to be reviewed by the FTB design & engineering team will be sent directly to Janet Stocker of FTB. FTB will be responsible to distribute to subs and to forward from subs to City. FTB will be responsible for project documentation of those aspects they and their subs are involved in. Schedule: This Scope of Services is based on a 26 -week construction schedule, as established by the City in the project bid documents. Should all allowances be used providing the services in the scope during the 26 -week period, additional services beyond that time will be invoiced on a time and materials basis. Project Staffing. Michael Freedman and Greg Tung will continue their collaboration as Project Deign Principals on the Downtown Project. Michael and Greg will make all aesthetic recommendations regarding street fumishings, materials and finishes. Tent' Bottomley will continue as Project Design Principal for the Cherokee Lane Project, collaborating with Greg on furniture -related items. Victor Freedman will continue to oversee all aspects pertaining to the Gate and Kiosk features. Janet Stocker will continue as Project Manger - for this phase of the project that will mean functioning as FIB's primary point of contact for receiving and forwarding submittals to and from the relevant parties, supervising submittal routing and tracking, and overseeing project documentation. In addition Janet will attend quasi - weekly project meetings and site observation in Lodi, and will function in her capacity as landscape architect on planting and paving construction review. Meetings & Observation. FTB will provide 15 meetings during the course of the project for full day attendance for job observation and project meeting attendance. Janet will review quality of construction for all streetscape features such as concrete formwork and paving design, as well as respond to questions regarding the necessary relocation of vertical objects due to field discoveries. It is recommended that at each of these meetings Janet attend Project Meetings with the City Engineer and the Contractors to review progress and potential problems as the project proceeds. Fabrication Site Visits. It has been our experience that for special features such as the gate and kiosk, it is worth everyone's while to check the special features in the shop before they arrive on site. Such fabrication site visits help to avoid potential major disappointments and subsequent disagreements that can arise if we WJ VVJ/ VV 1 Construction Administration Scope of Services, Page 3 do not see the objects until they are delivered in what the contractor considers to be complete form. The scope allows for two fabrication site visits to Phoenix where the Kiosk will be fabricated, and two visits to Lodi and vicinity to visit Princeton Welding and other regional sites where pieces of the Gate are being manufactured. Victor Freedman will provide fabrication site visits (although he will be coming in from Allentown, Pa., Lodi will only be charged for time and expense as if he originated in San Francisco - hence two 15 hour days from SF to Phoenix and two 10 hour days to & from Lodi area). In addition, three visits to the city corp yard are allowed for viewing of paving and furniture mock-ups (two already completed) as required in the project specifications. Sculpture. Our scope therefor assumes that there will be a substantial chunk o time required to deal with the Artist and get him to an acceptable contract preceded by aesthetic review of his intent and the review of his method of fastening of the artwork and Sierra's review of the structural impact of the final artwork material and design. Landscaping. Our Scope of Services assumes that the responsibilities for landscaping items at this phase will be divided between FTB and the City as follows (this assumption is based on a sense of what the minimum involvement of FTB ought to be, since Mr. Hobson has taken on a large measure of the implementation of this item to date): 1) School Street: a.
