Area, and authorized the 1lnyor and City Clerk to execute the
Contract on behalf of the City.

DIAL -A -RIDE SERVICES
We have received a request from San .Joaquin County to continue
to provide Dia'. -A -Ride services in the Woodbridge area. We
have been providing this service for thu pcist six months and
have found that it has not placed an undue burden on.our
Dial -A -Ride services. If the present demand continues. we
should be able to provide this service.
It is therefore recommended that the City Council authorize the
City to enter into an agreement with San Joaquin County for
Dial -A -Ride services in the Woodbridge area.

Pursuant to the State's mandates relative to "identified
unmet transit needs", San Joaquin County undertook to meet the
cotrmunity of Woodbridge's transportation needs through a contract
with the City of Lodi, expanding their Dial -A -Ride services.
Without the City's cooperation and support, this program would
not have been possible.
It is our understanding that the City has recently reneged
their contract with the City Cab Company including the Woodbridge
service area. In November of 1983, by Board Order, the Celinty
Beard of Supervisors authorized continuation of service. A
5 -month contract was signed to establish a coincident contractual
arrangement based on the fiscal year. Based on the Board's intent
to authorize the continuation of service, this letter is directed
to extend the existing City/County contract contingent upon Board
authorization on July 3, 1984. It is the intent of this action
to allow for uninterrupted service to Woodbridge r(: --;idents.

2 THIS AGREEMENT, made and entered into this day of
3 , 1984, by and between the CITY-OF LODI, a
4 municipal corporation, hereinafter referred to as CITY, and the
S COUNTY OF SAN JOAQUIN, a political subdivision of the State of
6 California, hereinafter referred to as COUNTY.
7 WITNESSETH:
8 WHEREAS, CITY is presently operating a low-cost transpor-
9 tation system to the residents of the City of Lodi, commonly
10 known as Lodi Dial-A-Ride= and,
11 WHEREAS, the Board of Supervisors of COUNTY and the San
12 Joaquin County Council of Governments (COG) have identified the
13 transit needs of the unincorporated area of Woodbridge; and,
14 WHEREAS, it has been determined that the most feasible method
15 of serving the Woodbridge area transit needs is through an agree-
16 ment extending the service area of the current Lodi Dial-A-Ride
17 system to the Woodbridge area;
18 NOW, THEREFORE, the parties hereto, for and in consideration
19 of the charges, terms, covenants, and agreements contained herein,
20 agree as follows:
21 1. INCORPORATION BY REFERENCE
22 That agreement dated July 1, 1984, by and between CITY
23 and Wynston Hargrave and Rae Neel Margrave, doing busi-
24 ness as City Cab Co., and that document entitled
25 OPERATIONAL POLICY FOR LODI DIAL-A-RIDE are hereby
26 incorporated herein by this reference as Exhibit A and
27 Exhibit B, respectively.

1 2. SCOPE OF SERVICES
2 CITY agrees to provide sufficient vehicles to operate a
3 dial -a -ride transit system in the unincorporated area of
4 Woodbridge depicted on Exhibit C. a copy of which is
5 attached hereto and by this reference incorporated
6 herein, between the hours of 7:00 a.m. and 7:00 p.m.,
7 Monday through Friday of each week, excluding holidays
8 (New Year's Day, Washington's Birthday, Memorial Day,
9 July 4th, Labor Day, Thanksgiving Day and Christmas Day).
10 Services provided pursuant to this agreement shall meet
21 all applicable requirements of Exhibit A and Exhibit B
12 herein and shall include the area depicted on Exhibit C
13 herein.
14 3. TERM
15 The term of this agreement shall be a period of one (1)
16 year commencing on July 1st, 1984, and terminating on
17 June 30, 1985, subject to earlier termination upon the
18 cancellation or termination of that agreement incor-
19 porated herein as Exhibit A. However, commencement of
20 service shall be conditioned upon the funding of a
21 Transportation development Act (TDA) grant.
22 4. RENEWAL OR CANCELLATION
23 The term of this agreement may be extended for one-year
24 periods, up to three years, upon COUNTY's written noti-
25 fication to CITY that the COUNTY desires to continue the
26 services provided herein upon the same terms and con-
t? ditions. Said notification must be given at least 60

days before the expiration of the term.
In the event that CITY decides to discontinue said ser-
vices and determines that renewal of this agreement is
not practical or feasible, CITY agrees to provide COUNTY
with at least 30 days' written notice of such discon-
tinuance or nonrenewal.
5. COMPENSATION
In consideration for dial -a -ride services provided pur-
suant to this agreement, COUNTY agrees to compensate
CITY for each dial -a -ride ticket presented to COUNTY at
the rate of THREE DOLLARS FIFTY CENTS ($3.50). Tickets
for Woodbridge dial -a -ride passengers shall be Furnished
by CITY and shall be color coordinated so as to be
distinguishable from Lodi dial -a -ride tickets. Prices
for Woodbridge dial -a -ride tickets shall be within the
sole discretion of COUNTY. COUNTY agrees to pay CITY
for services provided pursuant to this agreement within
ten (10) working days of receipt of a bi-weekly invoice
from CITY. The bi-weekly invoice shall be mailed to:

6. INSURANCE
CITY agrees to obtain for COUNTY insurance coverage as
an additional insured and indemnification under the
terms and conditions provided in Exhibit A herein from

4 Exhibit A herein, COUNTY agrees to indemnify and hold
5 CITY free and harmless from any claim or demand for
6 damages to persons or property that may occur as a
7 result of performance of this agreement.
8 7. RECORDS
9 CITY agrees to supply COUNTY with all records and infor-
10 mation necessary to satisfy State and federal grant and
11 audit requirements. CITY shall permit authorised repre-
12 sentatives of COUNTY, the U. S. Department of transpor-
13 tation, and the Comptroller General of the United States
14 and the State or its designated representatives to
15 inspect and audit all data and records relating to the
16 performance of this agreement.
17 IN WITNESS WHEREOF, the parties hereto have executed this

THIS BOARD OF SUPERVISORS does hereby authorize and
direct the Chairman of the Board of Supervisors to sign
the attached one-year operating agreement between the
County of San Joaquin and the City of Lodi to continue
service to Woodbridge for fiscal year 1984-85, and
FURTHER, authorize and direct the Public Works
Department to negotiate with the City of Lodi, the extension
of service to the Acampo area, and
FURTHER, authorize and direct the Public Works

A G R E E M E N T
THIS AGREEMENT. made and entered into this _2= day of
June . 19 84 , by and between the City of Lodi, a
municipal corporation, hereinafter called "CITY"; and
Wynston Margrave and Rae Neel Margrave, his wife, doing
business as City Cab Co. of Lodi. California, hereinafter
called "C)MIPANY" .
The parties hereto do hereby acknowledge that each have
read and are completely familiar with the D,al-A-Ride
Operation Plan. attached hereto as Exhibit "A" and
incorporated herein by reference.
It ',Is the intent of the City of Lodi to provide subsidized
low-cost transportation to all residents of the City of
Lodi. This transportation system is to be a demand
response system with vehicles owned by the City, with
operating policies promulgated by the City. Company will
provide the day-to-day operations of the system, provide
the driverr and the dispatching of the vehicles. In order
to carry out said plans, the parties hereto are entering
into this Agreement to cover the specific items of
obligation of the respective parties. In consideration of

the mutual covenants and conditions herein contained, it is
hereby agreed between the parties as follows:
1. City will provide sufficient vehicles in order to
provide the levels of service outlined in the Dial -A -Ride
Operation Plan within the incorporated limits of the City
of Lodi, between the hours of 7:00 A.M. and 7:00 P.M..
Monday through Friday of each week, excluding holidays (Kew
Year's Day. Washington's Birthday. Memorial Day, July 4,
Labor Day, Thanksgiving Day and Christmas Day).
2. The Company will have available sufficient drivers to
provide no less than 40 hours' of vehicle service per day.
The drivers will meet all of the requirements of Section
24-29, 24-30, and 24-31 of the Lodi Municipal Code.
3. Company shall maintain a separate log for all
Dial -A -Ride customers, showing the time the call was
received, the time the passenger was picked up, and the
time the passenger was dispatched.
4. City and Company agree that regular passengers,
delivery services and other regular taxicab business will
not use vehicles provided by City. Dial -A -Ride passengers
are required to share rides with other Dial -A -Ride
passengers.

S. Only 1 fare shall be charged for up to S Dial -A -Ride
passengers travelling between the same origin point and
destination point. In no case will more than'.S adults be
transported at any one time.
6. Company agrees to maintain the appearance of both the
interior and exterior of all equipment in a neat, clean
manner at all times.
7. It is the City's responsibility to provide the
maintenance and upkeep of the Dial -A -Ride vehicles. The
City Cab Company will be billed by City for all parts and
labor performed or ordered by the City of Lodi, regarding
the maintenance.
S. City will, pfovide fuel and oil for the vehicles and
will bill the City Cab Company on a monthly basis for the
City's cost of fuel..
9. Company agrees to maintain in full force during the
term hereof a policy of public liability insurance under
which Company is named as insured, and containing an
Additional Named Insured Endorsement naming the City of
Lodi as an additional insured, and under which the insurer
agrees to indemnify and hold Company and the City of Lodi
harmless from, and against all costs, expenses, and
liability arising out of, or based upon, any and all
property damage, or damages for personal injuries,

Including death. sustained in accidents occurring in or
about the demised premises; where such accident, damage. or
Injury. including death, results, or is claimed to have
resulted. from any act or omission on the part of Company,
or Company's agents or employees. The minimum limits of
such insurance shall be $500.000.00/51,000.000.00. In
addition to the Additional Named Insured Endorsement on
Company's policy of insurance. said insurance policy shall
be endorsed to include the following language:
"Such insurance as is afforded by the
endorsement for the Additional Insureds shall
apply as primary insurance. Any other
insurance maintained by the City of Lotti or
its officers and employees shall be excess
only and not contributing with the insurance
afforded by this endorsement."
A certificate of insurance shall be filed with the City
Clerk.
10. Compa;iy agrees to make every practical effort to
respond to Dial -A -Ride customers in 30 minutes.
Dial -A -Ride customers shall be urged to be available at the
curbside for pickup so that Company will not have to wait
longer than a minute to a minute and one-half for the
customer to appear. In this respectit is agreed that
this time limit will have to be varied in the case of
handicapped passengers.
11. Company agrees to submit to City cancelled tickets for
all Dial -A -Ride passengers served and at the same time
shall present copies of said logs. Tickets and logs shall
be presented bi-weekly.

12. Company acknowledges that it has read the Dial -A -Aide
Operation Plan, and specifically. the information regarding
project monitoring and evaluation. The information
required therein shall be furnished by Company to City on a
timely basis.
13. Company agrees to accept the ticket coupon which City
will furnish to Dial -A -Ride passengers, and in the event of
doubt as to the eligibility of a passenger to use a senior
citizen or handicapped ticket, the driver may ask the
passenger to show his or her identification card.
14. Upon the effective date of this Agreement, Company
shall be reimbursed at the rate of $3.00 for each
Dial -A -Ride ticket presented to City for service within the
City of Lodi. and $3.50 for each ticket presented to the
City of Lodi for service to the Woodbridge area, pursuant
to the Agreetaent dated November 16, 1982 by and between the
City of Lodi and the County of San Joaquin (Resolution No.
82-129), during the term of this Agreemant upon
presentation of logs and tickets which establishes the
number of Dial -A -Ride passengers served by Company.
15. City accepts the responsibility of designing, printing
and selling Dial -A -Ride tickets to qualified passengers and
maintaining a record of the tickets sold to each eligible
user.

The parties do hereby agree that this Agreement
shall be for the period from the effective date of this
Agreement to June 30, 1985. Each party reserves the right
during said period to terminate and cancel this Agreement
in the event that the monitoring of this project shows that
the same is economically impossible for Company to continue
the operations or in the event that City determines that
Company is not carrying out the intent and spirit of the
Dial -A -Ride system by furnishing clean, courteous and
prompt service to Dial -A -Ride passengers.
IN WITNESS WHEREOF, the parties hereto have set
their hands the day'and year first hereinabove written.

OPERATIONAL POLICY FOR LODI DIAL -A -RIDE.
INTENT:
It is the intent of the City of Lodi to provide sub-
sidized low-cost transportation within the City of Lodi to
all of its residents. This intent is to be carried out with
a demand -response -shared -ride transportation system. The
manner in which this stated intent is carried out is described
in the -following sections.
SERVICE AREA:
The service area for the Lodi Dial -A -Ride project is
the incorporated limits of the City of Lodi. Rides will not
originate nor terminate outside the City lim;ts of the City of
Lodi.
USER POLICIES:
Use of Lodi Dial -A --.Ride will be available to all residents
of the City of Lodi. However, senior citizens (age 60 and over)
and non -elderly handicapped persons will pay a lesser fee than
the general public. Alt is anticipated that 200 riders per day
will avail themselves of the Dial -A -Ride service.

CEMIFICATION PROCEDURE:
Senior Citizens
The Senior Service Agency of San Joaquin County currently
is providing identification cards to persons 60 years of age or
older in Lodi to certify them for the Nutrition program and for'
other services available on the basis of age. For the price of
one dol.lar, the Agency furnishes senior citizens with an identi-
fication card sealed in plastic which contains a photograph of
the individual, name and address, year of birth, and signature,
as well as special medical information. This ID card is satis-
factory for the Dial -A -Ride eligibility. The 60 year age cri-
teria is based on the fact that many people over age 60 in Lodi
are on fixed incomes and/or have no convenient economical means -
of transportation.
A second reason for setting the eligibility age at this
level is to give the largest number of individuals an opportunity
to use the system. Low incomes and mobility impairments are not
limited to any age group, and it is not uncommon to find persons
in the 60-65 age group who have economic or medical circumstances
more critical than their peers in the 75 -and -over bracket.
Upper-income elderly persons may use the Dial -A -Ride
service, although it is not intended for them. There is no
practical way to prevent this without instituting income

requirements in the certification procedure. However, this
type of ridership is likely to be small and will not have a
substantial impact on project costs.
Handicapped Persons
The Senior Service Agency will also provide ID cards
for handicapped persons in the same manner as senior citizens
are certified. Criteria for handicapped status is either a
doctor's certificate stating that the individual is physically
or mentally unable to transport themselves, or show proof that
they are receiving social security disability.
TICKET SALES:
The City of Lodi will be responsible for the sale of
tickets. Convenient points of sale will be provided. At the
present time, LOEL Center, 105 S. Washington Street, and the
Lodi Fire Department Headquarters Station, 210 W. Elm Street
are sales points. Tickets will be sold to anyone. Senior .
citizens or handicapped persons must present a valid Identifi-
cation Card. At each ticket purchase, the user must sign for'
the number of tickets purchased.
TICKET USE:
Dial -A -Ride customers pay for each trip with a ticket
coupon. The trip is defined as travel between the point of
pickup and the point of debarkation. If a passenger wishes to

makEa a pickup enroute, i.e., for a prescription, at a drugstore,
this will be consideree] a trip completion unless the stop is
limited to 2 minutes rind the vehicle has no more than 1 other
paying passenger. Such exceptions will be at the discretion
of the system dispatcher and the driver. If a -driver is in
doubt about the eligibility of a customer who presents a senior
citizen or handicapped Dial -A -Ride ticket as fare payment, he
should ask the customer to show his or her ID card. All groups
of up to 3 persons travelling betwcen•the same origin point and
destination point, may ride for 1 ticket. This procedure en-
courages group riding and improves the productivity of the
system.
OPERATING HOURS: `
Operating hours will be 7:00 a.m. to 7:00 p.m., Monday
through Friday. Users will be required to call in request for
service no later than 6:30 p.m. to recei•te service. .
DISPATCHING:
Dial -A -Ride cabs will be dispatched in order to achieve
the greatest efficiency in the use of vehicles and not necessar-
ily.on a first come, first served manner. The City Cab Company
telephone number will continue to be used since most*Dial-A-Ride
passengers are already familier with the number, or know how to
find it in the telephone directory. Regular customers will be
logged on a separate log sheet from Dial -'A -Ride customers. This
will facilitate dispatching of,cabs and reporting bi--weekiv
statistics to the City of Lodi.

Vehicles used for the Dial -A -Ride project should be in
good operating order, neat in appearance and clean. The exterior
appearance is important in attracting riders and the cabs should
be washed at least once per week. The interior condition, like-
wise, is important in providing satisfactory service and, to this
end, the drivers bhould vacuum each cab at the beginning and in
the midpoint of each shift.
The vehicles are the property of the City of Lodi.
To thi s
end, when vehicles are not being used for Dial -A -Ride, they may
be used by the City of Lodi.
UTILIZATION OF VEHICLES:
The Lodi Dial -A -Ride vehicles will not be available for
regular taxicab service. The Dial -A -Ride vehicles will be a
distinctive color with City of Lodi logo.
All Dial -A -Ride passengers will be expected to share rides
and may not refuse to ride with another passenger. It is to be
noted that this feature potentially enables the operator to pro- _
vide trips at a lower cost per passenger by increasing the
productivity of the system.
INSURANCE:
The City of Lodi will self -insure itself for liability
coverage. It shall be the contractor's responsibility to insure'
itself and its employees for primary coverage and name the City
of Lodi as an additional named insured in accordance with
Paragraph 9 of Agreement dates] December 31 19 81
The policy secured by contractor shall be endorsed to show
it is primary over any other va'id or collectible insurance or
self insurance program.

The maximum time for a taxicab to respond to a Dial -A -
Ride customer's request for service shall be 30 minutes.
This applies to peak demand periods as well as off peak periods.
The response time will be consistent from hour -to -hour through-
out the day, with no one period having excessive response times.
It is extremely important in a shared -ride taxicab system that
the time spent waiting for customers at the pickup point be
minimized so that passengers already in the cab will not be in-
convenienced. Drivers should wait no longer than 1 to 1-1/2
minutes for a customer to appear.
Inasmuch as the Dial -A -Ride service will be targeted.
largely at persons with impaired mobility, delay at pickup
points may be somewhat longer than usual due to the necessity
of assisting passengers into cabs or waiting for them to enter
or leave without assistance. Dispatchers should use their
discretion in assigning persons with known mobilit•, problems to
a cab with several other occupants.
MAINTENANCE:
The responsibility for maintaining the vehicles rests
with the City of Lodi. Sufficient vehicles are available to
assure that periodically, a vehicle may be taken in for service.
The City Cab Company will pay for the cost of labor and parts
used for maintenance of these vehicles. Diesel fuel will be
made available for the vehicles and the City Cab Company will
be billed for the fuel used, at the City's cost. Company will
be responsible for delivering 'the vehicles for maintenance to
the City's maintenance shop at Ham Lane and Kettleman Road, Lodi.

REPORTING AND MNITORING:
Dispatch logs for the Dial -A -Ride service will be
submitted to the City at the same time cancelled tickets are
presented for reimbursement. Drivers' logs will also be
made available for inspection by the City and will be kept
on file for 2 fiscal years. .
The City Cab Company will furnish monthly totals of
vehicle miles, vehicle service hours, and fuel consumption.
In addition, the City Cab Company will prepare a profit -loss
statement.on its overall operation on a quarterly basis. This
report is to be submitted 30 days after the end of each quarter.
This data will be used to evaluate the overall effectiveness
of the program but also to evaluate the reasonableness of the
reimbursement rate.
The purpose of monitoring operations is to ensure the
day-to-day operation'of the project is being conducted smoothly
and efficiently. This monitoring is critical in order to verify
that users are receiving an adequate level of service and to
provide operational guidance in the event problems arise that
threaten to impair the project. Monitoring will take the form
of periodic random surveillance of the vehicles and dispatching
procedures.
The monitoring will include an evaluation of trip times,
trip length, wait times, passengers per mile driven and passen-
gers carried per hour of service.

Pursuant to the State's Mandate relative to "identified unmet transit
needs", in November the Boars approved the continuation of the contract with the
City of Lodi, extending their Dial -A -Ride services to Woodbridge residents for
six months. This action was taken in order to establish coincident contracts
with Lodi's agreement with City Cab and facilitate fiscal year claiming
procedures.
Attached for the Board's consideration is the proposed one-year operating
agreements, based on the continuation of service in the existing format.
Service will be available to Woodbridge under the same provisions as the
preceding year's contract with the City of Lodi, from 7:00 a.m. to 7:00 p.m.,
Monday through Friday, excluding holidays. Ticket sale sites have changed with
Lodi City Hall becoming the new Lodi outlet. The Nutrition Site in Woodbridge
continues it's sales and a new site is being sought to replace the Deli. Fare
structure will remain as originally designed, slightly higher than Lodi
services: Elderly and handicapped $1.00 one-way; general public $2.50 one-way.
The original service was estimated to produce one rider per hour from the
Woodbridge area. The service is operating at approximately 42% of that figure,
or five riders per day (see attachment II for STATS). The system while
remaining rmall, is well received and is consistently utilized by area residents.
The service which is funded by Transportation Development Act Funds (IDA) is
designed to achieve a 30% fare -box return resulting in no direct County
contribution.
The only potential change to the service which will require Board
consideration and approval, is the new 1984-85 identified Transportstion "Beed"
determined by the Council of Governments for the Acampo Mobile Home Park in the
Acampo area (see attached survey for results). It is based on a petition of 202
area residents, primarily elderly, seeking transportation. This service would
be designed in a format identical to that of Woodbridge, based on the same cost
per passenger. Estimating for the "nein' service a ridership of approximately 70
rides per month at a projected cost of approximately $2,940.00.

The Woodbridge service to date has averaged for the prior. five months, 90
passengers per south. Projecting a 50% increase in service for the 84-85
fiscal year, results in an annual operating cost of approximately $5,040.00,
plus $2,940.00 for Acampo, would bring the total cost to $7,780.00. An
additional $500.00 is recommended to enhance continued marketing efforts.
In order to allow for uninterrupted service to the Woodbridge area,
IT IS THEREFORE RECOMKENDED:
That the Board of Supervisors:
Authorise and direct the Chairman of the Board of Supervisors to sign the
attached one-year operating agreement between the County of San Joaquin and the
City of Lodi to continue service to Woodbridge for the 1984-85 fiscal year, and
Further, authorise and direct the Public Works Department to negotiate with
the City of Lodi the extension of service to the Acampo area, and
Further, authorize and direct the Public Works Department to prepare a
Transportation Development Act Claim based on the negotiated agreements, for
signature and submission by the County Administrator or his designee.

Pursuant to the State's mandates relative to "identified
unmet transit needs", San Joaquin County undertook to meet the
community of Woodbridge's transportation needs through a contract
with the City of Lodi, expanding their Dial -A -Ride services.
Without the City's cooperation and support, this program would
not have been possible.
It is our understanding that the City has recently renewed
their contract with the City Cab Company including the Woodbridge
service area. In November of 1983, by Board Order, the County
Board of Supervisors authorized continuation of service. A
6 -month contract was signed to establish a coincident contractual
arrangement based on the fiscal year. Based on the Board's intent
to authorize the continuation of service, this letter is directed
to extend the existing City/County contract contingent upon Board
authorization on July 3, 1984. It is the intent of this action
to allow for uninterrupted service to Woodbridge residents.

2 THIS AGREEMENT, made and entered into this day of
3 , 1984, by and between the CITY OF LODI, a
4 municipal corporation, hereinafter referred to as CITY, and the
5 COUNTY OF SAN JOAQUIN, a political subdivision of the State of
6 California, hereinafter referred to as COUNTY.
7 WITNESSETH:
8 WHEREAS, CITY is presently operating a low-cost transpor-
9 talion system to the residents of the City of Lodi, commonly
10 known as Lodi Dial -A -Ride; and,
11 WHEREAS, the Board of Supervisors of COUNTY and the San
12 Joaquin County Council of Governments (COG) have identified the
13 transit needs of the unincorporated area of Woodbridge; and,
14 WHEREAS, it has been determined that the most feasible method
15 of serving the Woodbridge area transit needs is through an agree -
16 ment extending the service area of the current Lodi Dial -A -Ride
17 system to the Woodbridge area;
18 NOW, THEREFORE, the parties hereto, for and in consideration
19 of the charges, terms, covenants, and agreements contained herein,
20 agree as follows:
21 1. INCORPORATION BY REFERENCE
22 That agreement dated July 1, 1984, by and between CITY
23 and Wynston Hargrave and Rae Neel Hargrave, doing busi-
24 ness as City Cab Co., and that document entitled
25 OPERATIONAL POLICY FOR LODI DIAL -A -RIDE are hereby
26 incorporated herein by this reference as Exhibit A and
27 Exhibit 8, respectively.

1 2. SCOPE OF SERVICES
2 CITY agrees to provide sufficient vehicles to operate a
3 dial -a -ride transit system in the unincorporated area of
4 Woodbridge depicted on Exhibit C. a copy of which is
5 attached hereto and by this reference incorporated
6 herein, between the hours of 7:00 a.m. and 7:00 p.m.,
7 Monday through Friday of each week, excluding holidays
8 (New Year's Day, Washington's Birthday, Memorial Day,
9 July 4th, Labor Day, Thanksgiving Day and Christmas Day).
10 Services provided pursuant to this agreement shall meet
11 all applicable requirements of Exhibit A and Exhibit B
12 herein and shall include the area depicted on Exhibit C
13 herein.
14 3. TERM
15 The term of this agreement shall be a period of one (1)
16 year commencing on July 1st, 1984, and terminating on
17 June 30, 1985, subject to earlier termination upon the
18 cancellation or termination of that agreement incor-
19 porated herein as Exhibit A. However, commencement of
20 service shall be conditioned upon the funding of a
21 Transportation development Act (TDA) grant.
22 4. RENEWAL OR CANCELLATION
23 The term of this agreement may be extended for one-year
24 periods, up to three years, upon COUNTY's written noti-
25 fication to CITY that the COUNTY desires to continue the
26 services provided herein upon the same terms and con -
27 ditions. Said notification must be given at least 60

2 In the event that CITY decides to discontinue said ser-
a vices and determines that renewal of this agreement is
4 not practical or feasible, CITY agrees to provide COUNTY

7 S. COMPENSATION
8 In consideration for dial -a -ride services provided pur-
9 suant to this agreement, COUNTY agrees to compensate
10 CITY for each dial -a -ride ticket presented to COUNTY at
11 the rate of THREE DOLLARS FIFTY CENTS ($3.50). Tickets
12 for Woodbridge dial -a -ride passengers shall be furnished
13 by CITY and shall be color coordinated so as to be
14 distinguishable from Lodi dial -a -ride tickets. Prices
15 for Woodbridge dial -a -ride tickets shall be within the
16 sole discretion of COUNTY. COUNTY agrees to pay CITY
17 for services provided pursuant to this agreement within
18 ten (10) working days of receipt of a bi-weekly invoice
19 from CITY. The bi-weekly invoice shall be mailed to:

9 CITY agrees to supply COUNTY with all records and infor-
10 mation necessary to satisfy State and federal grant and
11 audit requirements. CITY shall permit authorised repre-
12 sentatives of COUNTY, the U. S. Department of transpor-
13 tation, and the Comptroller General of the United States
14 and the State or its designated representatives to
15 inspect and audit all data and records relating to the
16 performance of this agreement.

THIS AGREEMENT, made and entered into this _2= day of

Wynston Margrave and Rae Neel Margrave, his wife, doing
business as City Cab Co. of Lodi. California. hereinafter
called "COMPANY".
The parties hereto do hereby acknowledge that each have
read and are completely familiar with the Dial -A --Ride
Operation Plan, attached hereto as Exhibit "A" and
Incorporated herein by reference.
It is the intent of the City of Lodi to provide Subsidised
low-cost transportation to all residents of the City of
Lodi. This transportation system is to be a demand
response system with vehicles owned by the City, with
operating policies promulgated by the City. Company will
provide the day-to-day operations of the system, provide
the drivers and the dispatching of the vehicles. In order
to carry out said plans,

items of
obligation of the respective parties. In consideration of

the mutual covenants and conditions herein contained, it is
hereby agreed between the parties as follows:
1. City will provide sufficient vehiclss in order to
provide the levels of service outlined in the Dial -A -Ride
Operation Plan within the incorporated limits of the City
of Lodi, between the hours of 7:00 A.M. and 7:00 P.M..
Monday through Friday of each week. excluding holidays (New
Year's Day. Washington's Birthday, Memorial Day, July 4,
Labor Day, Thanksgiving Day and Christmas Day).
2. The Company will have available sufficient drivers to
provide no less than 40 hours' of vehicle service per day.
The drivers will meet all of the requirements of Section
24-29, 24-30, and 24-31 of the Lodi Municipal Code.
3. Company shall maintain a separate log for all
Dial -A -Ride customers, showing the time the _call was
received, the time the passenger was picked up, and the
time the passenger was dispatched.
4. City and Company agree that regular passengerst
delivery services and other regular taxicab business will
not use vehicles provided by City. Dial -A -Ride passengers
are required to share rides with other Dial -A -Ride
passengers.

5. Only 1 fare shall be charged for up to 3 Dial -A -Ride
passengers travelling between the same origin point and
destination point. In no case will more than 5 adults be
transported at any one time.
6. Company agrees to maintain the appearance of both the
interior and exterior of all equipment in a neat, clean
manner at all times.
7. It is the City's responsibility to provide the
maintenance and upkeep of the Dial -A -Ride vehicles. The
City Cab Company will be billed by City for all parts and
labor performed or ordered by the City of Lodi, regarding
the maintenance.
S. City will provide fuel and oil for the vehicles and
will bill the., City Cab Company on a monthly basis for the
City's cost of fuel.
9. Company agrees to maintain in full force during the
term hereof a policy of public Iiability insurance under
which Company is named as insured, and containing an
Additional Named Insured Endorsement naming the City of
Lodi as an additional insured, and under which the insurer
agrees to indemnify and hold Company and the City of Lodi
harmless from, and against all costs, expenses, and
liability arising out of, or based upon, any and all
property damage, or damages for personal injuries,

including death, sustained in accidents occurring in or
about the demised premises; where such accident, damage, or
injury, including death, results, or is claimed to have
resulted, from any act or omission on the part of Company,
or Company's agents or employees. The minimum limits of
such insurance shall be ;500,000.00/51,000.000.00. In
addition to the Additional Named Insured Endorsement on
Company's policy of insurance, said insurance policy shall
be endorsed to include the following language:
"Such insurance as is afforded by the
endorsement for the Additional Insureds shall
apply as primary insurance. Any other
insurance maintained by the City of Lodi or
Its officers and employees shall be excess
only and not contributing with the insurance
afforded by this endorsement."
A certificate of insurance shall be filed with the City
Clerk.
10. Company agrees to make every practical effort to
respond to
Dial -A -Ride
customers
in
30 minutes.
Dial -A -Ride
customers shall
be urged to
be
available at the
curbside for pickup so that Company will not have to wait
longer than a minute to a minute and one-half for the
customer to appear. In this respect, it is agreed that
this time limit will have to be varied in the case of
handicapped passengers.
11. Company agrees to submit to City cancelled tickets for
all Dial -A -Ride passengers served and at the same time
shall pros?nt copies of said logs. Tickets and logs shall
be presented bi-weekly.

12. Company acknowledges that it has read the Dial -A -Ride
Operation Plan, and specifically, the information regarding
project monitoring and evaluation. The information
required therein shall be furnished by Company to City on a
timely basis.
13. Company agrees to accept the ticket Coupon which City
will furnish to Dial -A -Ride passengers, and in the event of
doubt as to the eligibility of a passenger to use a senior
citizen or handicapped ticket, the driver may ask the
passenger to show his or her identification card.
14. Upon the effective date of this Agreement, Company
shall be reimbursed at the rate of $3.00 for each
Dial -A -Ride ticket presented to City for service within the
City of Lodi, and $3.50 for each ticket presented to the
City of- Lodi for service to the Woodbridge area, pursuant
to the Agreement dated November 16, 1982 by and between the
City of Lodi and the County of'San Joaquin (Resolution No.
82-129), during the term of this Agreement upon
presentation of logs and tickets which establishes the
number of Dial -A -Ride passengers served by Company.
15. City accepts the responsibility of designing, printing
and selling Dial -A -Ride tickets to qualified passengers and
maintaining a record of the tickets sold to each eligible
user.

The parties do hereby agree that this Agreement
shall be for the period from the effective date of this
Agreement to June 30. 1985. Each party reserves the right
during said period to terminate and cancel this Agreement
in the event that the monitoring of this project shows that
the same is economically impossible for Company to continue
the operations or in the event that City determines that
Company is not carrying out the intent and spirit of the
Dial -A -Ride system by furnishing clean, courteous and
prompt service to Dial -A -Ride passengers.

OPERATIONAL POLICY FOR LODI DIALrA-RIDE
INTENT:
It is the intent of the City of Lodi to provide sub-
sidized low-cost transportation within the City of Lodi to F
all of its residents. This intent is to be carried out with
a demand -response -shared -ride transportation system. The
manner in which this stated intent is carried out is described
in the following sections.
SERVICE AREA:
The service area for the Lodi Dial -A -Ride project is
the incorporated limits of the City of Lodi. Rides will not
or4ginate nor terminate outside the City limits of the City of
Lodi.
USER POLICIES:
Use of Lodi Dial -A -Ride will be available to all residents
of the City of Lodi. However, senior citizens (age 60 and over)
and non -elderly handicapped persons will pay a lesser fee than
the general public. It is anticipated that 200 riders per day
will avail themselves of the Dial -A -Ride service.

CERTIFICATION PROCEDURE:
Senior Citizens
The Senior Service Agency of San Joaquin County currently
is providing identification cards to persons 60 years of age or
older in Lodi to certify them for the Nutrition Program and for
other services available on the basis of age. For the price of
one dollar, the Agency furnishes senior citizens with an identi-
fication card sealed in plastic which contains a photograph of
the individual, name and address, year
of birth,
and
signature,
as well as special
medical information.
This ID
card
is satis-
factory for the Dial -A -Ride eligibility. The 60 year age cri-
teria is based on the fact that many people over age 60 in Lodi
are on fixed incomes and/or have no convenient economical means -
of transportation.
A second reason for setting the eligibility age at this
level is to give the largest number of individuals an opportunity
to use the system. Low incomes and mobility impairments are not
limited to any age group, and it is not uncommon to find persons
in the 60•-65 age group who have. economic or medical circumstances
more critical than their peers in the 75 -and -over bracket.
Upper-income elderly persons may use the Dial -A -Ride
service, although it is not intended for them. There is no
practical way to prevent this without instituting income

requirements in the certification procedure. However, this
type of ridership is likely to be small and will not have a
substantial impact on project costs.
Handicapped Persons
The Senior Service Agency will also provide ID cards
for handicapped persons in the same manner as senior citizens
are certified. Criteria for handicapped status is either a
doctor's certificate stating that the individual is physically
or mentally unable to transport themselves, or show proof that
they are receiving social security disability.
TICKET SALES:
The Ci; -y of .Lodi will be responsible for the sale of
tickets. Convenient points of sale will be provided. At the
present time, LOEL Center, 105 S. 'Washington Street, and the
Lodi Fire Department Headquarters Station, 210 W. Elm Street
are sales points. Tickets will be sold to anyone. Senior
citizens or handicapped persons must present a valid ldentiFi-
cation Card. At each ticket purchase, the user must sign for
the number of tickets purchased. .r
TICKET USE:
Dial -A -Ride customers pay for each trip with a ticket
coupon. The trip is defined as travel between the point of
pickup and the point of debarkation. If a passenger wishes to

make a pickup enroute, i.e., for a prescription. at a drugstore;
this will be considered a trip completion unless the stop is
limited to 2 minutes and the vehicle has no more than 1 other
paying passenger. Such exceptions will be at the discretion
of the system dispatcher and the driver. If a•driver is in
doubt about the eligibility of a customer who presents a senior
citizen or handicapped Dial -A -Ride ticket as fare payment, he -
should ask the customer to show his or her ID card. All groups
of up to 3 persons travelling between' the same origin point and
destination point, may ride for 1 ticket. This procedure en-
courages group riding and improves the productivity of the
system.
OPERATING HOURS:
Operating hours will be 7:00 a.m. to 7:00 p.m., Monday
through Friday. Users will be required to call in request for
service no later than 6:30 p.m. to receive service.
DISPATCHING:
Dial -A -Ride cabs will be dispatched in order to achieve
the greatest efficiency in the use of vehicles and not necessar-
ily.on a first come, first served manner. The City Cab Company
telephone number will continue to be used since most'Dial-A-Ride
passengers are already familiar with the number, or know how to
find it in the telephone directory. Regular customers will be
logged on a separate log sheet from Dial -'A -Ride customers. This
will facilitate dispatching of,cabs and reporting bi-weekly
statistics to the City of Lodi.

'•VEHICLES:
Vehicles used for the Dial -A-Ride project should be in
good operating order, neat in appearance and clean. The exterior
appearance is important in attracting riders ,and the cabs should
be washed at least once per week. The interior condition, like-
wise, is important in providing satisfactory service and, to this
end, the drivers should vacuum each cab at the beginning and in
the midpoint of each shift.
The vehicles are the property of the City of Lodi. To this
end, when vehicles are not being used for Dial -A -Ride, they may
be used by the City of Lodi.
UTILIZATION OF VEHICLES:
The Lodi Dial -A -Ride vehicles will not be available for
regular taxicab service. The Dial -A -Ride vehicles will be a
distinctive color with City of Lodi logo.
All Dial -A -Ride passengers will be expected to share rides
and may not refuse to ride with another passenger. It is to be
noted that this feature potentially enables the operator to pro-
vide trips at a lower cost per passenger by increasing the
productivity of the system.
INSURANCE:
The City of Lodi will self -insure itself for liability
coverage. It shall be the contractor's responsibility to insure'
itself and its employees for primary coverage and name the City
of Lodi as an additional named insured in accordance with
Paragraph 9 of Agreement dated December 31 19 .81
The policy secured by contractor shall be endorsed to show
it is primary over any other valid or collectible insurance or
self insurance program. •..

LEVEL OF
The maximum time for a taxicab to respond to a Dial -A -
Ride customer's request for service shall be 30 minutes.
This applies to peak demand periods as well as off peak periods.
The response time will be consistent from hour -to -hour through-
out the day, with no one period having excessive response times.
It is extremely important in a shared -ride taxicab system that-
the
hatthe time spent waiting for customers at the picjcup point be
minimized so that passengers already in the cab will not be in-
convenienced. Drivers should wait no longer than 1 to 1-1/2
minutes for a customer to appear.
Inasmuch as the Dial -A -Ride service will be targeted.
largely at persons with impaired mobility, delay at pickup
points may be somewhat longer than usual due to the necessity
of assisting passengers into cabs or waiting for them to enter
or leave without assistance. Dispatcher's should use their
discretion in assigning persons with known mobility problems to
a cab with several other occupants.
MAINTENANCE :
The responsibility for maintaining the vehicles rests
with the City of Lodi. Sufficient vehicle- are available to
assure that periodically, a vehicle may be taken in for service.
The City Cab Company will pay for the cost of labor and parts
used for maintenance of these vehicles. Diesel fuel will be
made available for the vehicles and the City Cab Company will
be billed for the fuel used, at the City's cost. Company will
be responsible for delivering 'the vehicles for maintenance to
the City's maintenance shop at Ham Lane and Kettleman Road, Lodi.

REPORTING AND MONITORING:
Dispatch logs for the Dial -A -Ride service will be
submitted to the City at the same time cancelled tickets are
presented for reimbursement. Drivers' logs will also be
made available for inspection by the City and will be kept
on file for 2 fiscal years. _
The City Cab Company wiil furnish monthly totals of
vehicle miles, vehicle service hours, and fuel consumption. '
In addition, the City Cab Company will prepare a profit -loss
statement.on its overall operation on a quarterly basis. This
report is to be submitted 30 days after the end of each quarter.
This data will be used to evaluate the overall effectiveness
of the program but also to evaluate the reasonableness of the
reimbursement rate.
The purpose of monitoring operations is to ensure the
day-to-day operation of the project is being conducted smoothly
and efficiently. This monitoring is critical in order to verify
that users are receiving an adequate level of service and to
provide operational guidance in the event problems arise that
threaten to impair the project. Monitoring will take the form
of periodic random surveillance of .the vehicles and dispatching
procedures.
The monitoring will include an evaluation of trip times,
trip length, wait times, passengers per mile driven and passen-
gers carried per hour of service.

1984-85 UN -MET TRANSIT NEEDS - ACAMPO AREA
DIAL -A -RIDE SURVEY RESULTS
San Joaquin County: Acampo
Transit needs in Acampo first came to the attention of COG staff at the
Woodbridge hearing held in December of 1982. Ms. Nancy Warner, of the
Acampo/Lockeford area, testified at that time of the need for certain
members of the congregation of the Acampo Community Church to travel to
Stockton for various purposes. (The Acampo Community Church is located
on Acampo Road, about one mile west of Highway 99). Ms. Warner
specifically mentioned a Delta College student who had difficulty
getting to class. Also mentioned were travel needs for medical (County
Hospital) and public assistance purposes.
In response to Ms. Warner's testimony, the medical request was referred
to Community Council. Subsequent conversations with that agency
revealed that at least one Acampo area resident was in fact transported
to Stockton. No other service has been provided to Acampo.
At this year's Woodbridge hearing, additional Acampo testimony was
.received. This new testimony, however, was from a different area of
Acampo - the Arbor Mobile Home Parc, located on the 99 frontage road
east of the freeway proper and just north of Woodbridge Road. The
testimony consisted of a petition signed by 282 residents of the Arbor
Mobile Home Park, requesting the use of a Dial -A -Ride in the Acampo
area. It was submitted to COG staff by Mrs. Sandy McDaniel, Park
Manager.
In response to the Acampo requests, COG staff has taken the following
actions:
1.
performed a field inspection of the Arbor Mobile Home
Park and
other Acampo areas;
2.
gathered demographic data on the areas
identified in
the field
inspection;
3.
contacted Ms. Nancy Warner for further
(and updated)
information;
4.
contacted two other local residents whose
names were
furnished
by Ms. Warner, and who were thought to
have knowledge
of unmet
transit needs in Acampo; and
5.
designed, pretested, and administered a
survey to all

units of the Arbor Mobile Home Park.
The field inspection revealed three subareas of Acampo which appeared
likely to have transit needs, and which possessed sufficient densities
so that viable transit service could be considered. They were:
1. the area around the Acampo Community Church, known as Old Town
Acampo;
2. the area east of Highway 99 and north of Acampo Road known as
Cooper's Corner;
3. the Arbor Mobile Home Park.
Subsequent demographic studies were not conclusive due to the small
size of the above areas in comparison to the census block groups in
which they are contained. However, enough information was obtained to

convince COG staff that Cooper's Corner was not in particular need of
transit service, since auto ownership is apparently high and many
families with children are present. Thus, staff dropped the Cooper's
Corner area from consideration.
Potential transit needs in Old Town Acampo are less easily dismissed.
The field inspection appeared to indicate a low income Hispanic
community, with fewer children and possibly more elderly being present
than in Cooper's Corner. However, subsequent telephone conversations
with Ms. Warner and with Reverend Fabila of the Acampo Community Church
left staff with no firm basis on which to recommend the finding of an
unmet transit need (the demographic data not being conclusive).
Specifically, Ms. Warner stated that the student requiring
transportation to Delta College (one of those people on whose behalf
she had originally testified) had since moved to Stockton. For his
part, Reverend Fabila felt the Old Town Acampo community would welcome
Dial -A -Ride service, but indicated that most of his congregation were
not from the immediate local area, as COG staff had supposed.
Reverend Fabila himself lives in Sacramento, and commutes to Acampo on
Sundays. Also, Ms. Warner lives in another part of Acampo, near
Lockeford. Thus, no direct public comment from residents of the Old
Town Acampo area has ever been received. Unless and until such comment
is received, COG staff cannot recommend that unmet transit needs be
found for Old Town Acampo.
The final area of Acampo to be considered is the Arbor Mobile Home
Park. The survey was highly successful, being returned by two-thirds
of all households. A copy of the survey, as well as a description and
analysis of the responses, have been assembled into a five page report
which has been shared with all interested parties. (The report will be
included in the upcoming document). For purposes of this section, a
brief summary will suffice.
The survey responses were grouped into two main categories - those who
said they would actually use the Dial -A -Ride (the "users": 46 house-
holds), and those who said they would not (the "non-users": 61 house-
holds). While the number of actual Dial -A -Ride users will certainly be
much less, further analysis revealed significant differences between
the two groups, thus lending credence to the responses. For example,
three households had no licensed drivers, and all three were in the
user group. Also, the percentage of people aged 60 and older was
higher in the user group: 88.8% vs. 73.7% for the non-users. The
overall figure of 80.4% aged 68 or higher is five times the 1980
County average of 15.9%, thus revealing the retirement character of the
Arbor Mobile Home Park.
Many of the survey respondents (30.8%) included comments. Virtually
all comments - even those from the non -user group - were favorable to
Dial -A -Ride, and a few indicated a clear personal need, such as the
77 -year old woman who "never did drive" and whose 86 -year old husband
is "sometimes sick and can't drive."
Survey respondents were not asked about their income. The Arbor
Mobile Home Park is not a low-income development, as even a casual
stroll through the well -kept grounds and modern recreation room and

office building will reveal. As a result, unmet transit needs cannot
be found on the basis of income. However, COG staff does feel that
unmet transit needs exist for the residents of the Arbor Mobile Home
Park. This recommendation is based on three primary factors:
1. the advanced age of the residents;
2. the specific comments and other survey responses which were
received;
3. the fact that a petition requesting service was received.
Concerning the specifics of unmet transit needs, the survey responses
revealed a strong need to travel to Lodi. The three most desired trip
purposes (each checked by a majority of users) were for medical and
dental, shopping, and personal business needs, in that order. Finally,
a sizable minority (30.4%) of user households desired travel to Lodi to
connect with Amtrak, Greyhound, or Trailways.
The remainder of this section will consider whether or not the unmet
transit needs of Arbor Mobile Home Park residents are reasonable to
meet. Because the Arbor Mobile Home Park is located in a rural area,
the rural resonableness standard of $7.83 average cost per passenger
will be used as a standard. In other words, if the unmet transit needs
can be met for a maximum cost of $7.83 per passenger, meeting those
unmet needs will be deemed reasonable.
In seeking to project ridership for the Arbor Mobile Home Park, COG
staff was fortunate to discover an existing model.- The Casa de Lodi
Mobile Home park, which is presently served by the Lodi Dial -A -Ride, is
very similar to the Arbor Mobile Home Park. Both are located in close
proximity just east of Highway 99, with the Casa de Lodi lying within
the City Limits. While the Casa de Lodi (240 units) is larger than
the Arbor (173 units), rents are similar and residents of both are
generally elderly and retired.
Casa de Lodi ridership figures were collected over a two week period,
from Monday., January 23 through Friday, Feburary 3. During those
ten operating days, a total of 45 passenger trips either started or
ended at the Casa de Lodi. Adjusting to a monthly figure yields 95
trips per month (45 x 21 ♦ 10). Finally, adjusting for the smaller
size of the Arbor Mobile Home Park yields the figure of 68 passenger
trips per month (95 x 173 + 240). This is the projected ridership
for the Arbor Mobile Home Park.
It now remains to calculate costs. The following discussion includes
direct costs which would be submitted by the City Cab Company to serve
the Arbor, County administrative and marketing costs, and proportionate
capital costs.
According to Mrs. Rae Margrave of the City Cab Company (which operates
the Lodi Dial -A -Ride service under contract to the City of Lodi),
service could be provided to the Arbor Mobile Home Park for $3.50 per
passenger. This cost, which includes all Cab Company expenses and
profit, is identical to the current reimbursement rate for the
Woodbridge service. As with the current arrangement, the City Cab
Company would be initially reimbursed by the City of Lodi, which would
then bill the County of San Joaquin for the amount in question.

Added to the City Cab Company costs must be County staff :oats for
administration and marketing of the new service. In many instances,
these costs will be less than the costs of administering an entirely
new service, because the Woodbridge administrative procedures are
already in place. Nevertheless, County staff estimates that
approximately $1,700 in additional annual administrative costs will be
incurred to provide Dial -A -Ride service to the Arbor Mobile Home Park.
Such activities as establishing a new ticket site, revising the present
contract, conducting a start-up promotional campaign, and increased
County staff travel time, are included in the $1700 annual figure.
For purposes of this analysis, all costs must be expressed in terms of
cost per passenger. COG staff has estimated that the Arbor Mobile Home
Park would generate about 68 passenger trips per month, or 816
passengers per year. Dividing the annual County administrative cost
($1,700) by 816 yields $2.08 administrative cost per passenger.
The final cost to be considered is the capital cost for depreciation.
The six Lodi Dial -A -Ride vehicles were originally purchased and
equipped with radios at a cost of $63,941. Assuming these vehicles
last five years, the average depreciation per year is $63,941 ♦ 5 a
$12,788. This cost must be allocated among all Dial -A -Ride passengers,
including any new passengers from the Arbor Mobile Home Park. The
chart below shows the calculations, with the depreciation cost per
passenger being shown in the far right hand column.

weighted figures were derived by multiplying the annual ridership by

for the City of Lodi and Woodbridge/Arbor, respectively).
As the chart shows, the actual cost per rider for depreciation is
rather small - only $.24 per passenger for County riders. Total County
share - as measured by this (projected) analysis - would be $238 + $196
$434 per year, compared to the $12,354 impact by Lodi passengers.
This is mentioned because it has been suggested that any further
expansion of the Lodi Dial -A -Ride into the County of San Joaquin could
only be accomplished if the County were to supply the City with a new
Dial -A -Ride vehicle. However, the chart above shows that total County
riders - including both current Woodbridge and projected Arbor riders -
would only make up about 2.9% to 3.4% of total system riders (higher
figure is for weighted ridership). Thus, while the City may wish to
bill the County for reasonable depreciation expenses, it would not
appear appropriate for the County to bear the entire cost of a new
$10,000+ Dial -A -Ride vehicle.

The above discussion does not address the larger question of whether or
not a new Dial -A -Ride vehicle might actually be needed. Concerns for a
new vehicle were related to the impact on system ridership of the Lodi
Rotary club promotion of November 1, 1983 - February 4, 1984. During
that period, the Rotarians supplied 8,844 free Dial -A -Ride tickets to
Lodi seniors. Not surprisingly, the impact on system ridership was
substantial - it increased by an average of over 1,100 passengers per
month. This increase taxed the system to capacity and possibly
resulted in some increased passenger waiting times, but no major
disruptions were noted. With the ending of the Rotary Club promotion
on February 4, ridership has begun to decline back to pre -Rotary
levels. As a result, COG staff feels that the projected 68 rides per
month from the Arbor Mobile Home Park will not necesitate a new
Dial -A -Ride vehicle.
Conclusion - Acampo Reasonableness: When adding up the calculated
costs to determine reasonableness, the depreciation costs of $.24 per
passenger should be excluded: under TDA regulations, depreciation is
not considered an operating expense. Depreciation was included in
this analysis because it was felt desirable to show the costs of wear
and tear on City of Lodi vehicles caused by County upage.
Adding up the allowable operating costs yields the figure of $5.59 cost
per passenger ($3.50 + $2.08). This is what it would cost to provide
transit service to the residents of the Arbor Mobile Home Park based on
a.projected ridersip of 68 trips per month. As this is within the
rural reasonableness standard of $7.83, COG staff concludes and
recommends that an unmet transit need which is reasonable to meet be
found to exist for the residents of the Arbor Mobile Home Park to
travel into Lodi.
The above recommendation of reasonableness assumes that the Lodi
Dial -A -Ride can be expanded to serve the Arbor Mobile Home Park. If
the COG Board approves this recommendation, the County of San Joaquin
should immediately enter into discussions with the City of Lodi to
achieve this service expansion. COG staff's analysis has shown that
this expansion can be achieved without the need for a new Dial -A -Ride
vehicle, and without any additional costs being incurred by the City
of Lodi. The additional ridership will constitute less than 2% of the
total current ridership, so City riders should not be adversely
impacted. Finally, the City of Lodi could conceivably realize a modest
benefit from expanding its Dial -A -Ride, since the Arbor residents would
patronize City businesses and services.

2 THIS AGREEMENT, made and entered into this day of

4 municipal corporation, hereinafter referred to as CITY, and the
5 COUNTY OF SAN JOAQUIN, a political subdivision of the State of
6 California, hereinafter referred to as COUNTY.
7 WITNESSETH:
8 WHEREAS, CITY is presently operating a low-cost transpor-
9 tation system to the residents of the City of Lodi, commonly
10 known as Lodi Dial -A -Ride; and,
11 WHEREAS, the Board of Supervisors of COUNTY and the San
12 Joaquin County Council of Governments (COG) have identified the
13 transit needs of the unincorporated area of Woodbridge; and,
14 WHEREAS, it has been determined that the most feasible method
15 of serving the Woodbridge area transit needs is through an agree -
16 ment extending the service area of the current Lodi Dial -A -Ride
17 system to the Woodbridge area;
18 NOW, THEREFORE, the parties hereto, for and in consideration
19 of the charges, terms, covenants, and agreements contained herein,
20 agree as follows:
21 1. INCORPORATION BY REFERENCE
22 That agreement dated July 1, 1984, by and between CITY
23 and Wynston Hargrave and Rae Neel Hargrave, doing busi-
24 ness as City Cab Co., and that document entitled
25 OPERATIONAL POLICY FOR LODI DIAL -A -RIDE are hereby
26 incorporated herein by this reference as Exhibit A and
27 Exhibit B, respectively.

2. SCOPE OF SERVICES
CITY agrees to provide sufficient vehicles to operate a
dial -a -ride transit system ;n the unincorporated area of
Woodbridge depicted on Exhibit C, a copy of which is
attached hereto and by this reference incorporated
herein, between the hours of 7:00 a.m. and 7:00 p.m.,
Monday through Friday of each week, excluding holidays
(New Year's Day, Washington's Birthday, Memorial Day,
July 4th, Labor Day, Thanksgiving Day and Christmas Day).
Services provided pursuant to this agreement shall meet
all applicable requirements of Exhibit A and Exhibit B
herein and shall include the area depicted on Exhibit C
herein.
3. TERM
The term of this agreement shall be a period of one (1)
year commencing on July 1st, 1984, and terminating on
June 30, 1985, subject to earlier termination upon the
cancellation or termination of that agreement incor-
porated herein as Exhibit A. However, commencement of
service shall be conditioned upon the funding of a
Transportation development Act (TDA) grant.
4. RENEWAL JR CANCELLATION
The term of this agreement may be extended for one-year
periods, up to three years, upon COUNTY's written noti-
fication to CITY that the COUNTY desires to continue the
services provid d herein upon the same terms and con-
ditions. Said notification must be given at least 60

1 days before the expiration of the term.
2 In the event that CITY decides to discontinue said ser -
3 vices and determines that renewal of this agreement is
4 not practical or feasible, CITY agrees to provide COUNTY
5 with at least 30 days' written notice of such discon-
6 tinuance or nonrenewal.
7 5. COMPENSATION
8 In consideration for dial -a -ride services provided pur-
9 suant to this agreement, COUNTY agrees to compensate
10 CITY for each dial -a -ride ticket presented to COUNTY at
11 the rate of THREE DOLLARS FIFTY CENTS ($3.50). Tickets
12 for Woodbridge dial -a -ride passengers shall be furnished
13 by CITY and shall be color coordinated so as to be
14 distinguishable from Lodi dial -a -ride tickets. Prices
15 for Woodbridge dial -a -ride tickets shall be within the
16 sole discretion of COUNTY. COUNTY agrees to pay CITY
17 for services provided pursuant to this agreement within
18 ten (10) working days of receipt of a bi-weekly invoice
19 from CITY. The bi-weekly invoice shall be mailed to:

10 oration necessary to satisfy State and federal grant and
11 audit requirements. CITY Shall permit authorized repre-
12 sentatives of COUNTY, the U. S. Department of transpor-
13 tation, and the Comptroller General of the United States
14 and the State or its designated representatives to,
15 inspect and audit all data &nd records relating to the
16 performance of this agreement.

A G R E E M E N T
THIS AGREIZIENT, made and entered into this nth day of
June_. 19 84 , by and between the City of Lodi. a
municipal corporation, hereinafter called "CITY"; and
Wynston Margrave and Rae Neel Margrave, his wife, doing
business as City Cab Co. of Lodi, California, hereinafter
called "COMPANY".
The parties hereto do hereby acknowledge that each have
read and are completely familiar with the Dial -A -Ride
Operation Plan, attached hereto as Exhibit "A" and
Incorporated herein by reference.
It is the intent of the City of Lodi -to provide subsidized
low-cost transportation to all residents of the City of
Lodi. This transportation system is to be a demand
response system with vehicles owned by the City, with
operating policies promulgated by the City. Company will
provide the day-to-day operations of the system, provide
the drivers and the dispatching of the vehicles. In order
to carry out said plans, the parties hereto are entering
into this Agreement to cover the specific items of
obligation of the respective parties. In consideration of

the mutual covenants and conditions herein contained, it is
hereby agreed between the parties as follows:
1. City will provide sufficient vehicles in order to
provide the levels of service outlined in the Dial -A -Ride
Operation Plan within the incorporated limits of the City
of Lodi, between the hours of 7:00 A.M. and 7:00 P.M..
Monday through Friday of each week, excluding holidays (New
Year's Day, Washington's Birthday. blemorial Day, July 4,
Labor Day, Thanksgiving Day and Christmas Day).
2. The Company will have available sufficient drivers to
provide no less than 40 hours' of vehicle service per day.
The drivers will meet all of the requirements of Section
24-29, 24-30, and 24-31 of the Lodi Municipal Code.
3. Company shall maintain a separate log for all
Dial -A -Ride customers, showing the- time the call was
received, the time the passenger was picked up, and the
time the passenger was dispatched.
4. City and Company agree that regular passengers,
delivery services and other regular taxicab business will
not use vehicles provided by City. Dial -A -Ride passengers
are required to share rides with other Dial -A -Ride
passengers.

5. Only 1 fare shall be charged for up to 3 Dial -A -Ride
passengers travelling between the same origin point and
destination point. In no case will more than 5 adults be
transported at any one time.
6. Company agrees to maintain the appearance of both the
Interior and exterior of all equipment in a neat, clean
manner at all times.
7. It is the City's responsibility to provide the
maintenance and upkeep of the Dial -A -Ride vehicles. The
City Cab Company will be billed by City for all parts and
labor performed or ordered by the City of Lodi, regarding
the maintenance.
8. City will provide fuel and oil for the vehicles and
will bi 1 1 the City Cab Company on a monthly basis for the
City's cost of fuel.
9. Company agrees to maintain in full force during the
term hereof a policy of public liability insurance under
which Company is named as insured, and containing an
Additional Named Insured Endorsement naming the City of
Lodi as an additional insured, and under which the insurer
agrees to indemnify and hold Company and the City of Lodi
harmless from, and against all costs, expenses, and
liability arising out of, or based upon, any and all
property damage, or damages for personal injuries,

Including death, sustained in accidents occurring in or
about the demised premises; where such accident, damage, or
injury, including death, results, or is claimed to have
resulted, from any act or omission on the part of Company,
or Company's agents or employees. The minimum limits of
such insurance shall be $500,000.001$1,000,000.00. In
addition to the Additional Named Insured Endorsement on
Company's policy of insurance, said insurance policy shall
be endorsed to include the following language:
"Such insurance as is afforded by the
endorsement for the Additional Insureds shall
apply as primary insurance. Any other
Insurance maintained by the City of Lodi or
its officers and employees shall be excess
only and not contributing with the insurance
afforded by this endorsement."
A certificate of insurance shall be filed with the City
Clerk.
10. Company agrees to make every practical effort to
respond to Dial -A -Ride customers in 30 minutes.
Dial -A -Ride customers shall be urged to be available at the
curbside for pickup so that Company will not have to wait
longer than a minute to a minute and one-half for the
customer to appear. In this respect, it is agreed that
this time limit will have to be varied in the case of
handicapped passengers.
11. Company agrees to submit to City cancelled tickets for
all Dial -A -Ride passengers served and at the same time
shall present copies of said logs. Tickets and logs shall
be presented bi-weekly.

12. Company acknowledges that it has read the Dial -A -Ride
Operation Plan, and specifically, the information regarding
project monitoring and evaluation. The information
required therein shall be furnished by Company to City on a
timely basis.
13. Company agrees to accept the ticket coupon which City
will furnish to Dial -A -Ride passengers, and in the event of
doubt as to the eligibility of a passenger to use a sensor
citizen or handicapped ticket, the driver may ask the
passenger to show his or her identification card.
14. Upon the effective date of this Agreement, Company
shall be reimbursed at the rate of $3.00 for each
Dial -A -Ride ticket presented to City for service within the
City of Lodi, and $3.50 for each ticket presented to the
City of Lodi for service to the Woodbridge.• area, pursuant
to the Agreement dated November 16, 1.982 by and between the
City of Lodi and the County of San Joaquin (Resolution No.
82-129), during the term of this Agreement upon
presentation of logs and tickets which establishes the
number of Dial -A -Ride passengers served by Company.
15. City accepts the responsibility of designing, printing
and selling Dial -A -Ride tickets to Qualified passengers and
maintaining a record of the tickets sold to each eligible
user.

The parties do hereby agree that this Agreement
shall be for the period from the effective date of this
Agreement to June 30, 1985. Each party reserves the right
during said period to terminate and cancel this Agreement
in the event that the monitoring of this project shows that
the same is economically impossible for Company to continue
the operations or in the event that City determines that
Company is not carrying out the intent and spirit of the
Dial -A -Ride system by furnishing clean, courteous and
prompt service to Dial -A -Ride passengers.

OPERATIONAL POLICY FOR LODI DIAL -A -RIDE
INTENT:
It is the intent of the City of Lodi to provide sub-
sidized low-cost transportation within the City of Lodi,to
all of its residents. This intent is to be carried out with
a demand -response -shared -ride transportation system. The
manner in which this stated intent is carried out is described
in the -following sections.
SERVICE AREA:
The service area for the bodi Dial -A -Ride project is
the incorporated limits of the City of Lodi. Rides will not
originate nor terminate outside the City lim:ts of the City of
Lodi.
USER POLICIES:
Use of Lodi Dial -A -:tide will be available to all residents
of the City of Lodi. however, senior citizens (age 60 and over)
and non -elderly handicapped persons will. pay a lesser fee than
the general public. It is anticipated that 200 riders per day
will avail themselves of the Dial -A -Ride service.
CERTIFICATION PROCEDURE:
Senior Citizens
The Senior Service Agency of San Joaquin County currently
is providing identification cards to persons 60 years of age or
older in Lodl to certify them for the Nutrition Program and for
other services available on the basis of age. For the price of
one dollar, the Agency furnishes senior citizens with an identi-
fication card sealed in plastic which contains a photograph of
the individual, name and address, year of birth, and signature,
as well as special medical information.* This ID card is satis-
factory for the Dial -A -Ride eligibility. The 60 year age cri-
teria is based on the fact that many people over age 60 in Lodi
are on fixed incomes ander have no convenient economical means -
of transportation.
A second : r•:►son for setting the eligibility age at this
level is to give the largest number of individuals an opportunity
to use the system. Low incomes and mobility impairments are not
limited to any age group, and it is not uncommon to find persons
in the 60-65 age group who have. economic or medical circumstances
more critical than their peers in the 75 -and --over bracket.
Upper-income elderly persons may use the Dial -A -Ride
service, although it is not intended for them. There is no
practical way to prevent this without instituting income

requirements in the certification procedure. However, this
type of ridership is likely to be small and will not have a
substantial impact on project costs.
Handicapped Persons
The Senior Service Agency will also provide ID cards
for handicapped persons in the same manner as senior citizens
are certified. Criteria for handicapped status is either a
doctor's certificate stating that the individual is physically
or mentally unable to transport themselves, or show proof that
they are receiving social security disability.
TICKET SALES:
The City of Lodi will be responsible for the sale of
tickets. Convenient points of sale will be provided.. At the
present time, LOEL Center, 105 S. Washington Street, and the
Lodi Fire Department Headquarters Station, 210 W. Elm Street
are sales points. Tickets will be sold to anyone. Senior
citizens or handicapped persons must present a valid ldentiti-
cation*Card. At each ticket purchase, the user must sign for
the number of tickets purchased.
TICKET USE:
Dial -A -Ride customers pay for each trip with a ticket
coupon. The trip is defined as travel between the point of
pickup and the point of debarkation. If a passenger wishes to

make a pickup enroute, i.e., for a prescription. at a drugstore,
this will be considered a trip completion unless the stop is
limited to 2 minutes and the vehicle has no more than 1 other
paying passenger. Such exceptions will be at the discretio n
of the system dispatcher and the driver. If a -driver is in
doubt about the eligibility of a customer who presents a senior
citizen or handicapped Dial -A -Ride ticket as fare payment, he `
should ask the customer to show his or her ID card. All groups
of up to 3 persons travelling between' the same origin point and
destination point, may ride for 1 ticket. This procedure en-
courages group riding and improves the productivity of the
system.
OPLRATING iiOURS : -
Operating hours will be 7:00 a.m. to 7:00 p.m., Monday
through Friday. Users will be required to call in request for
service no later than 6:30 p.m. to receive service.
DISPATCHING:
Dial -A -Ride cabs will be dispatched in order to achieve
the greatest efficiency in the use of vehicles and not necessar-
i.ly.on a first come, first served manner. The City Cab Company
telephone number will continue to be used since most Dial -A -Ride
passengers are already familiar with the number, or know how to
find it in the telephone directory. Regular customers will be
logged on a separate log sheet from Dial -A -Ride customers. This
will facilitate dispatching of,cabs and reporting bi-weekly
statistics to the City of Lodi.

VEHICLES: •
Vehicles used for the Dial -A -Ride project should be in
good operating order, neat in appearance and clean. The exterior
appearance is important in attracting riders and the cabs should
be washed at least once per weer.. The interior condition, like-
wise, is important in providing satisfactory service and, to this
end, the drivers should vacuum each cab at the beginning and in
the midpoint of each shift.
The vehicles are the property of the City of Lodi. To this
end, when vehicles are not being used for Dial -A -Ride, they may
be used by the City of Lodi.
UTILIZATION OF VEHICLES:
The Lodi Dial -A -Ride vehicles will not be available for
regular taxicab service. The Dial -A -Ride vehicles will be a
distinctive color 1-ith City of Lodi logo.
All Dial -A -Ride passengers will be expected to share rides
and may not refuse to ride with another passenger. It is to be
noted that this feature potentially enables the operator to pro--
vide

vide trips at a lower cost per passenger by increasing the
productivity of the system.
INSURANCE:
The City of Lodi will self -insure itself for liability
coverage. It shall be the contractor's responsibility to insure'
itself and itti employees for primary coverage and name the City
of Lodi as an additional named insured in accordance with
Paragraph 9 of Agreement dated De( -ember 31 19 81
The policy secured by contractor shall be endorsed to show
it is primary over any other valid or collectible insurance or
self insurance program.

The maximunt time for a taxicab to respond to a Dial -A -
Ride customer's request for service shall be 30 minutes.
This applies to peak demand periods as well as off peak periods.
The response time will be consistent from hour -to -hour through-
out the day, with no one period having excessive response times.
It is extremely important in a shared -ride taxicab system that
the time spent waiting for customers at the picXup point be

Inasmuch as the Dial -ll -Ride service will be targeted.

points may be somewhat longer than usual due to the necessity
of assisting passengers into cabs or waiting for them to enter
or leave without assistance. Dispatchers should use their
discretion in assigning persons with known mobilit- problems to -
a cab with several other occupants.
MAINTENANCE:
The responsibility for maintaining the vehicles rests
with the City of Lodi. Sufficient vehicles are available to
assure that periodically, a vehicle may be taken in for service.
The City Cab Company will pay for khe cost of labor and parts
used for maintenance of these vehicles. Diesel fuel will be
made available for the vehicles and the City C; -.b Company will
be billed for the fuel used, at the City's co:;t. Company will
be responsible for delivering 'the vehicles for maintenance to
the City's maintenance shop at Ham Lane and Kettleman Road, Lodi.

REPORTING AND MONITORING:
Dispatch logs for the Dial -A -Ride service will be
submitted to the City at the same time cancelled tickets are
presented for reimbursement. Drivers' logs will also be
made available for inspection by the City and will be kept
on file for 2 fiscal years.
The City Cab Company will furnish monthly totals of
vehicle miles, vehicle service hours, and fuel consumption.
in addition, the City Cab Company will prepare a profit -loss
statement.on its overall operation on a quarterly basis. This
report is to be submitted 30 days after the end of each quarter.
This data will be used to evaluate the overall effectiveness
of the program butalso to evaluate the reasonableness of the
reimbursement rate.
The purpose of monitoring operations is to ensure the
day-to-day operation'of the project is being conducted smoothly
and efficiently. This monitoring is critical in order to verify
that users are receiving an adequate level of service and to
provide operational guidance in the event problems arise that
threaten to impair the project. Monitoring will take the form
of periodic random surveillance of the vehicles and dispatching
procedures.
The monitoring will include an evaluation of trip times,
trip length, wait times, passengers per mile driven and passen-
gers carried per hour of service.
