AGREEMENT BETWEEN THE CITY OF LODI AND
PACIFIC GAS'AND ELECTRIC COMPANY CONCERNING THE
COOPERATIVE ELECTRICITY MANAGEMENT PROGRAM
THIS AGREEMENT, made and entered into this
day of 1981, by and between PACIFIC GAS AND
ELECTRIC COMPANY, a California corporation, hereinafter
referred7-to, as "PGandE, and the CITY OF LORI, a municipal
corporation of the State of California, hereinafter re-
ferred to as "LODI", concerning their joint participation
in PGandEls experimental Cooperative Electricity Management
Program, -hereinafter referred to as *CEMP'.
1. -1rhe objective of CEMP is to achieve a reduction
in On -Peak Demand (See Exhibit A attached.hereto)
within the Lodi Program Area (defined -in
Exhibit B attached hereto) during the Summer of
1981, compared to the Summer of 1980. This is a
planning goal for CEMP and no liability by either
party shall result from failure to achieve any or
all of the CEMP goal.
2. A Joint Electricity Management Committee, composed
of 2 members appointed by the Lodi City Council
and I PGandE member, will serve in program
development and implementation.

be responsible to Lodi, acting by and through
its City Manager. PGandE shall have no respon-
sibility or liability for program coordination
except that PGandE shall compensate Lodi for
promotion costs and reasonable employment costs
incurred by it for this position while the pro-
gram continues. Total costs for program coor-
dination and promotion are not to exceed
THIRTY THOUSAND =DOLLARS ($30,000).
4. With funds resulting from reduction in On -Peak
summer demand, Lodi will provide to the community
at large, various incentives comprised of goods
and services which promote energy conservation
and benefit the community and which are selected
by the City Council of the City of Lodi in
consultation with the Joint Electricity Management` _.

the Joint Management Committee will inform Lodi
of the amount of load reduction achieved
(between June 1 and September 30 of that year)
and benefits earned, and Lodi will provide to
the community the.goods and services which
promote energy conservation and benefit the
community within a reasonable time thereafter.
5.' The Joint Committee will have the primary
responsibility for determining the reduction
in On -Peak Demand achieved by, Lodi. PGandE
will install reasonable -metering equipment,.to
monitor Lodi"s electric loads during 1981.
The Joint Committee shall determine the extent
of the On-Peak.,Demand reduction by comparing
the metered data collected during 1981 with the
1080 base on -Peak Demand of 69,,919 KW (See
Exhibit A attached hereto).
6. This CEMP is subject to modification or termina-
tion by PGandE either pursuant to directives of
