March 4, 1981 we have received proposals for maintenance of radio equipment from three firms in the following amounts: FIRM NAME Delta Communication McGee•Communication Motorola Communications ANNUAL UNCOVERED CONTRACT AMOUNT WORK $18,009.00 $40.00/hr, $20,741.40 $36.00/hr. $21,661.80 $49.00/hr. Staff has contacted two Stockton firms and four Lodi farms who contract with Delta Communications and all gave favorable responses. Included in that group are Stockton police, Lodi Ambulance, and Woodbridge Fire District. Stockton police did indicate that sometimes there is a delay in installation and conversion of equipment, but that when equipment is down that response time is excellent and that Delta provides excellent quality work. Department Reads have been polled to determine if there is any problems they are aware of with pelta Communications. No one has indicated any reason that Delta Communications cannot do an excellent job. Staff, therefore, recommends the City award a maintenance contract to Delta Industrial Communications and Engineering. Delta has two technicians permanently assigned to Lodi and plans for additional help as needed. They are presently locating a permanent shop in Lodi. STEIN City Attorney Enclosed please find Agreement for the Maintenance of Radio Communication Equipment in the City of Lodi which was awarded to Delta Communications by the Lodi City Council at its regular meeting of March 4, 1981. This Agreement shall be for the period of April 1, 1981 until dune 30, 1982 and for successive yearly periods thereafter until either party terminates this Agreement at the end of the current yearly period by notice in writing delivered by special delivery letter by the other party not less than 30 days prior to the end of the first year period or any subsequent yearly period. The annual contract amount is $18,009.00 and $40.00 per hour for work not covered by this contract. You will note that you are required to maintain and keep in force during the terms of this Agreement a liability insurance policy for bodily injuries or death in the amount of $500,000.00 for one person and $1,000,000.00 for one occurence and $250,000.00 for property damage. Pursuant to the second paragraph of the last page, an additional insured endorsement to the contractor's liability insurance policy naming the City, its officers, and employees as additional insured shall be furnished to the City of Lodi. We would -ask that you sign the original and one copy and return it along with the required insurance endorsement to this office at your earliest convenience. Upon receipt of this we will gully execute the Agreement and return one copy to you. Should you have any questions regarding this matter, please feel free to call this office. A G R E E M E N T MAINTENANCE OF RADIO COMMUNICATION EQUIPMENT IN THE CITY OF LODI THIS AGREEMENT made this 4th day of March, 1981 by and between the CITY OF LODI, a municipal corporation, hereinafter called "City" and DELTA COMMUNICATIONS, hereinafter called "Contractor" This Agreement shall be for the period April 1 1981 until June 30, 1982, and for successive yearly periods thereafter until either party terminates this Agreement at the end of the current yearly period by notice in writing delivered by Special. Delivery Letter to the other party, not .less than 30 days prior to the end of the first year period or any subsequent yearly period. Contractor agrees to perform all work pursuant to the "Request for Proposals to Provide Maintenance of Radio Communication Equipment in the City of Lodi", attached hereto, marked Exhibit "A", and incorporated herein by reference. Contractor agrees to perform said maintenance of radio communication equipment in the City of Lodi and City agrees to compensate Contractor therefor, the sum of $18,009000 and $40.00 per hour for work not covered by this contract. -i- This Agreement may be terminated by either party by giving notice in writing at least 30 days prior to the effective termination date. Doth parties agree that service performed hereunder by Contractor shall be as an independent contractor and not otherwise. The services to be performed and other obligations not otherwise mentioned herein are and shall be as described, in Exhibit `°A" This Agreement may not be assigned by Contractor with- out the written consent of City. Contractor agrees to hold City, its officers, agents and employees harmless for and defend against any and all claims and liabilities arising from the performance of the services required herein. Contractor further agrees to indemnify City against loss of City property resulting from the dishonesty of the employees of Contractor. Contractor shall at all times maintain and keep in force during the term of this Agreement liability insurance for bodily injuries or death in the amount of $500,000.00 for one -2- person, $1,000,000®00 for one occurrence and $250,000.00 for property damage. An additional insured endorsement to Contractor's liability insurance policy naming the City, its officers and employees as additional insured shall be furnished to City. Notwithstanding the above, Contractor's liability insurance policy shall be endorsed as primary insurance. Contractor shall also carry a policy of Worker's Compensa- tion Insurance covering any and all of its employees. The copies of these policies or certificates evidencing the same shall be filed with the City Clerk of City. City Clerk City Mall 221 West Pine S-reet Lodi, California 95240 FOR FURTHER INFORMATION CONTACT - Alice Reimche City Clerk City Hall 221 Lest Pine Street Lodi, California (2Q9) 334-5634 ELIGIBLE PROPONENTS: i Eligible proponents for maintenance contract of radio equipment for the City of Lodi is any firer which ca -.-i demon- strate to the satisfaction of the City Council that it has the capability, skill, experience, facilities, techniques EXHIBIT "A" and commitment to provide the services sought. CONTRACT SERVICE Maintenance shall. include the labor and parts required to repair and maintain the listed equipment which has become defective through "normal wear and tear". The term "normal gear and tear-" is intended to mean failure of the equipment to operate properly as a result of average application of the equipment under average working condi- tions. it shall not include repairs of the equipment occasioned by such problems as the wrecking of vehicles, damage as a result of an "Act of Cod", riots, destruction of the units or components and/or tampering or service by unauthorized individuals'. Additional repairs which are necessitated as a result of the movement of units from one vehicle to another or one base station to another by persons not in the employ of Contractor will not be covered by Contract Service. it is further understood that Contract Service shall not include the .installation or maintenance of towers and appurtenances, transmission lines, antennas, motor genera- tors, batteries, or other devices required or used for furn- ishing power to the comnjunicat ions equipment, nor with respect to effects upon transmission or reception produced by or emanating from such power sources, nor for wiring, fusing, or termination of any a.c. or d.c. circuits unless -2- otherwise agreed upon in writing by City and Contractor, nor will Contract Service include the modifying or addi- tions to the communications system of the City which may be desirable as a result of progress in the technical art or required by the Federal Communications Commission or other Government agencies. Services rendered to resolve problems of the nature described above may be negotiated between City and Contractor. Contract Service shall be provided on all equipment a in accordance with the indicated code listed in the Service (S) column on the attached list of equipments The numeral service code is as follows: (S1) Serviced on a 24 hour, 7 day per week call as needed basis plus preventative mainte- nance scheduled once annually as described in the extra included services section. (S3) Serviced on a 8 hour 5 days per week basis plus preventative maintenance scheduled once annually as described in the extra in- cluded services section. (S4) Serviced on a 8 hour 5 days per week basis, when it has been agreed that the type of equipment involved (accessories, remotes, etc.) does not require a preventative maintenance schedule. -3- EMERGENCY SERVICE All equipment listed for 24 hours, 7 days per week (Sl) in the attached list of equipment will be provided prompt emergency service outside normal working hours by Contractor whenever requested by City and at no additional charges. All other equipment covered by Contract Service and listed at less than 24 hour, 7 days per week, will be pro- vided after-hours emergency service by Contractor whenever requested by City but at an additional charge for service and travel at a rate equal to half (1/2) the current stan- dard hourly rate. There will be no additional charge for material required for emergency repairs, if this equipment would normally be supplied under Service Contract. NON -CONTRACT SERVICES Upon the request of City, Contractor will provide ser- vices not covered by Contract Service, such as removal, installation, modification to equipment lasted under Contract Service and removal, .installation, modification and service to equipment not listed under Contract Service. These extra services will be provided at the Contractor prevailing material service charges or may be negotiated between City and Contractor on a case--by--case basis. -4- 1. preventative maintenance is provided to City's equip- ment. in accordance with the agreed-upon scheduled Preventative maintenance shall include a complete check and repairs as required to keep equipment operating at factory specifications plus all FCC measurements as required by the FCC rules and regulations. 20 interference° 0 if at any time during this contract City should incur continuous harmful interference from unknown sources, Contractor will assist City by providing tech- nical and/or administrative services (not to exceed 2 man days) to help in identifying interfering sources and to provide recommendations for corrective action. This does not include any repairs or modifications required other than that necessary for assuring customers equip- ment meets factory specifications, 3. Administrative Assistance - FCC. As part of this agreement, Contractor agrees to provide administrative assistance to City in completing forms required by the FCC. Contractor's assistance will not be considered as assuming responsibility which must remain between City and the FCC as evidenced by City's signature on each document involved. =m BILLING Total charges for Contract Service will be billed, monthly and payable within thirty (30) days thereof Billing for services not covered by this Service Contract will be made as it occurs and payable within thirty (30) days thereof. TERMS The term of this agreement shell begin upon approval of agreement and shall continue until prune 30, 1982, and for successive yearly period thereafter unless either party terminates this agreement as of the end of the current yearly period by notice in writing delivered by special delivery mail to the other party not less than thirty (30) days prior to the end of the first year period of any sub- sequent yearly period ADDITIONAL EQUIPMENT-. If at any time the City or Contractor desires to include any additional communications equipment within the scope of this -agreement, they may do so by mutual, agreement. If the added equipment is of the same make and model as that which is listed in this agreement, it will be at the same current rate. If any equipment listed is to be permanently deleted from use by City, this particular item may be dropped from the agreement upon written notice by City to Contractor. EQUIPMENT TO BE MAINTAINED: The list of equipment to be maintained and the loca- tion of. the equipment is attached.
