Council limber Pinkerton asked to abstain fram the
discussion and voting because he did not understand the
amendment.
Following discussion, with questions being directed to the
City Manager, City Attorney, and other Staff menbers,
Council, on motion of Council Nimber Reid, Snider second,
adopted Resolution No. 84-015 approving AmcndentNmber One
dated as of March 1, 1984 to Agreement for Financing of
Planning and Development authorizing the City Manager and
City Clerk to execute the Amendment on behalf of the City.
Council further approved a Special Allocation in the am wat
of $250,000 to cover the City's participation in Phase II -A
and li-B of this project.
The heretofore stated motion carried by the following vote:

SUBJECT: Combustion Turbiti, Second Phase Agreement - Amendment No. 1
Pursuant to Commission action of January 26, 1984 (Resolution No. 84-07),
enclosed is a copy of Amendment No. 1 to the Combustion Turbine Second Phase
Agreement. This amendment must be approved by your governing body prior to
March 1, 1984.
Also enclosed for your use is a draft form of a resolution approving the
amendment. Upon approval, please return to me an executed ccpy of the amend-
ment a'.ong with the supporting resolution.
By copy of this letter, I am also forwarding these documents to your City
Clerk for processing.

RESOLUTION NO. 84-07
NORTHERN CALIFORNIA POWER AGENCY
BE IT RESOLVED BY THE COMMISSION OF THE NORTHERN CALIFORNIA POWER AGENCY,
as follows:
Section 1. Section 1 of the Agreement for Financing of Planning and
Development Activities for Con3truction of Combustion Turbine Generating Facili-
ties ("The Agreement"), dated as of August 1, 1982, first paragraph, third
sentence, is amended to read as follows:
"The percentage participation of each NCPA member which will be
initially a project member is initially established as follows:

Section 2. Section 6 of the Agreement, first paragraph, first sentence, is
amended to read as follows:
Each Project Member agrees to a total financial commitment
for its respective percentage participation of a total of $550,000
principal amount plus interest thereon, if any, including payments
and advances heretofore made, as authorized and approved by Project
M embers . '

Section 3. The General Manager is authorized and directed to transmit
the foregoing amendments to the Project Members with the request that they
authorize their adoption by resolution on or before March 1, 1984.
Section 4. Subject to the execution of the amendment, the General
Manager is hereby authorized and directed to enter into a contract with EBASCO
Services, Inc. for all services deemed necessary by him to the performance of
this agreement. The total amount payable under the agreement for such services
shall not exceed $450,000, without further authorization of this Commission.
Section 5. It is the intention of NCPA to make every effort to borrow,
on the security of the agreement, the remaining money to be expended under the
agreement to the extent practical and available on reasonable terms.

CITY OF LODI is
WHEREAS, the City has heretofore entered into that g:
certain Agreement For Financing of Planning and Development'
Activities for Construction of Combustion Turbine Generating
Facilities," dated as of August 1, 1983 ("The Agreement"),
among the Northern California Power Agency ("NCPA") and certain
of its members; and
WHEREAS, the City and the other parties to the Agreement
desire to amend the Agreement with regard to their participa-
tion in, and financial commitment to, the planning and develop-
ment activities which are the subject of the Agreement;
NOW, THEREFORE, be it resolved by the Council of the
City of Lodi, as follows:
Section 1. Amendment No. 1, dated as of March 1, 1984
to Agreement Tor Financing of Planning and Development
Activities for Construction of Combustion Turbine Generating
Facilities, dated as of August 1, 1983, be, and the same hereby
is, approved.
Section 2. The City agrees to a total financial
commitment for its 45.45% (31.088 f.14) participation share of a
total of $550,000 principal amount plus interest thereon, if
any, including payments and advances heretofore made.
Section 3. The City Manager is authorized and directed
to execute Amendment No. 1 to the Agreement on behalf of the
City and to transmit it to the Northern California Power Agency
prior to March 1, 3.984.

This Amendment Number One, dated as of March 1, 1984, by
and among Northern California Power Agency, a joint powers
agency of the State of California (hereinafter called "NCPA")
and the other entities executing this Amendment Number One.
WITNESSETH:
WHEREAS, NCPA and the other entities executing this
Amendment Number One have entered into an "Agreement for
Financing of Planning and Development Activities for Construc-
tion of Combustion Turbine Generating Facilities," dated as of
August 1, 1983 ("The Agreement") to provide for the inves-
tigation of the cost and feasibility of installing certain
combustion turbine facilities; and
WHEREAS, IQCPA and the other entities executing this
Amendment Number One desire to amend the Agreement in various
respects;
NOW THEREFORE, the parties hereto agree as follows:
Section 1.
