PageNet is a corporation in good standing, organized and
existing under the laws of the State of Delaware. A copy of.
PageNet's Articles of Incorporation and Certificate of Good Standing
for'the'State of 'California are on file as part of Application 86-
10.-=008 and are incorporated by this reference herein.

EXISTING OPERATIONS
PageNet is a certificated radiotelephone utility ("RTU")
.with its principal place of business in San Carlos, California;
providing one-way paging service throughout its certificated service.
area which ranges from Sonoma County in the north to Sacramento
.County in the east and south through Santa Clara County, and
Fresno/Visalia. In addition, PageNet's sister company, Paging
Network of Los Angeles, Inc., provides one-way paging throughout the
greater Los Angeles, San Diego and Bakersfield areas.

PROPOSED OPERATIONS
Pursuant to Section 1001 of the Public Utilities Code of
the State of California, Applicant requests a Certificate of Public

Convenience.and Necessity authorizing the construction and operation
I
of `additional paging and one-way radiotelephone utility facilities
in areas in and around Oroville, Calistoga and Lodi, California, as
described in the Engineering Statements attached as part of Exhibit
B to_,this application. Applicant proposes to construct base station
facilities at the following locations:

Exhibit C consists of the FCC date-stamped transmittal letter
of November 21, 1991 for the Calistoga FCC application indicating it
was received by the FCC on that date and the stamped transmittal
letters of December 30, 1991 showing that the Lodi and the Oroville
applications were received that date by the FCC. An additional
frequency is also noted at the Lodi site, for which the FCC
application was filed 'April 20, 1992. Thus, these applications
comply with revised Commission Rule of Practice and Procedure
18(0)(1) adopted in Dec. 92-03-078 and effective March 31, 1992,
e.g. they have been filed after the FCC 30 -day public notice period
has expired.

PUBLIC NEED AND DEMAND
PageNet currently serves subscribers throughout the greater San
Francisco/San Jose, Sacramento and surrounding areas, establishing
prima facie evidence that it is technically, legally and financially
qualified to serve the requested extended area. The FCC, via the
grant of numerous 900 MHz applications, has conclusively established
that there is a present ever-increasing demand for paging service in
California and throughout the United States. Based on this
information PageNet submits that there is a large market of
potential users whose service needs are not being met and can be met
by PageNet. In addition, this application will extend Applicant's
current service area coverage in new areas.

PROPOSED RATES AND CHARGES
PageNet's present effective rates, rules and regulations
shall be made effective in the extended area.

TECHNICAL FEASIBILITY AND COMPETENCE
PageNet intends to offer state-of-the-art paging services
as they are developed at goo MHz. The service offerings will be.
fully.automatic and interconnected and will initially include tone -
only; numeric display, alphanumeric display and tone -and -voice
service.
PageNet's proposed facilities will be operated under the
direct supervision and control of its present personnel in its San
Carlos.office'. Applicant's technical competence is evidenced by its
existing operations in the areas to which these base stations will
be an addition.
Ms..Nancy Shapiro is General Manager of PageNet and is
responsible for its operations. Mr. Mark Johnson, Systems Manager
for PageNet, will be responsible for the construction and
implementation of the proposed base stations and will be assisted by
other local technical personnel in maintaining and enhancing the
system. Mr. Johnson has a radiotelephone operator's license and is
responsible for providing technical oversight and support for
Applicant.
Control of the subject base stations will be provided by a
new control station. Additionally, automatic alarms will provide
immediate notification of certain technical failures. A 24-hour

trouble reporting number will be given to all subscribers, and
response to system failures will be on a 24-hour, seven day -per -week
basis.
Maintenance and repair services for the proposed
transmitting facilities will be provided by PageNet's experienced
technicians. These technicians are employed directly by PageNet an
they will have access to PageNet's transmitter and control point at
all times to perform -routine maintenance and emergency repair
services. During normal working hours, the technicians will be on
duty at the control point; at other times they will be on call.

ECONOMIC FEASIBILITY
The operation proposed by the Applicant will be
economically feasible. Total costs for the base stations, including
transmitters, antennas, transmission line, and related equipment are
approximately $90,000.
Attached as Exhibit D are copies of PageNet's condensed
balance sheet as filed with its Annual Report to the Commission on
or about April 1, 1992 and a May 18, 1992 letter from Paging
Network, Inc., the parent corporation of PageNet, indicating that it
will supply PageNet sufficient funds to finance PageNet's proposed
construction and operations from its existing line of credit. Thus,
it is clear that PageNet is capable of financing and operating the
proposed facilities.

SERVICE OF APPLICATION
A copy of this application has been mailed to each of

service list attached to the verification of this application.
Applicant will mail copies of this Application to any individual or
entity, designated by this Commission, upon direct request.
XIV
NO ADVERSE ENVIRONMENTAL IMPACT
Because its new base stations are to be located on
existing towers in existing.antenna farms, PageNet believes that
there is reasonable certainty that the grant of this Application
will.not result in significant adverse effect upon the environment,
and for that reason no environmental impact statement is required.
WHEREFORE, it is respectfully requested that this
Commission:
ai) Grant without hearing the requested Certificate of
Public Convenience and Necessity authorizing radiotelephone facility
construction and operation as proposed, such grant to be made
effective on the date of the Commission's Decision; and
b) Grant such other relief as the Commission deems just
and proper.
